- This Purchase Order, issued by Astronomer Ltd. of London, United Kingdom, constitutes a binding procurement agreement upon written acceptance by the supplier. All terms are governed by the laws of England and Wales.
- All goods and services referenced in this Purchase Order shall be delivered to the Astronomer Ltd. facility located in Westminster, London, United Kingdom, no later than the Required Delivery Date stated above. Late delivery shall incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay.
- The supplier warrants that all astronomical instruments and equipment supplied under this Purchase Order shall be new, unused, and free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery in London, United Kingdom.

- The supplier shall provide full technical documentation, calibration certificates, and UK-specific compliance declarations for all items listed in this Purchase Order. Astronomer Ltd. requires all documentation to be submitted in English.
- Intellectual property rights associated with the Astronomer branded equipment remain the sole property of Astronomer Ltd. The supplier shall not reproduce, distribute, or reference Astronomer trademarks in any marketing material without prior written consent.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in London, United Kingdom. Should mediation fail, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
- This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other. Any amendments to this Purchase Order must be documented in a written addendum signed by authorised representatives of both Astronomer Ltd. and the supplier.
