Terms and Conditions of This Purchase Order
- Delivery: All items listed in this Purchase Order shall be delivered to the Astronomer Corporation facility at 1200 Lake Shore Drive, United States Chicago, IL 60611, no later than August 15, 2025. Delivery shall be made between the hours of 08:00 and 16:00 Central Time. The supplier is responsible for all packaging, crating, and secure transport of sensitive Astronomer optical equipment.
- Payment Terms: Payment shall be made net forty-five (45) days from the date of invoice receipt. Astronomer Corporation will process payment via wire transfer to the supplier's designated account. A 1.5% monthly late fee shall apply to any overdue balance. Early payment within fifteen (15) days shall qualify for a 2% discount as per Astronomer standard procurement policy in United States Chicago.
- Acceptance and Inspection: Upon delivery, Astronomer Corporation's technical team shall have a period of ten (10) business days to inspect and test all equipment. Any item found to be defective, damaged, or non-conforming to the specifications outlined in this Purchase Order shall be returned at the supplier's sole expense. Astronomer reserves the right to reject any portion of this order that does not meet the agreed-upon performance criteria.
- Warranty: All hardware items carry a minimum two-year manufacturer's warranty from the date of acceptance. The adaptive optics module and dome control system carry an extended three-year warranty as specified in Line Item 007. Astronomer Corporation shall notify the supplier in writing within thirty (30) days of discovering any warranty-eligible defect.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes arising from this agreement shall be resolved through binding arbitration in United States Chicago, in accordance with the rules of the American Arbitration Association.
- Intellectual Property: All custom configurations, software calibrations, and proprietary settings developed specifically for Astronomer Corporation under this Purchase Order shall remain the exclusive intellectual property of Astronomer. The supplier shall not replicate, distribute, or disclose Astronomer-specific configurations to any third party without prior written consent.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including but not limited to natural disasters, acts of government, or supply chain disruptions. However, the supplier must notify Astronomer Corporation in writing within five (5) business days of any such event affecting delivery timelines.
- Compliance: The supplier warrants that all goods and services provided under this Purchase Order comply with all applicable federal, state, and local regulations in the United States, including but not limited to Illinois environmental standards and Chicago municipal building codes where applicable to installation work.
