  1. Acceptance: This Purchase Order constitutes a binding agreement upon signature by both parties. The Astronomer acknowledges receipt and acceptance of all terms herein by signing below.
  2. Performance Location: All services shall be rendered primarily at the GCIAPR facility in Houston, Texas, United States. Remote work is permitted for no more than two (2) days per week with prior written approval from the Director of Procurement.
  3. Intellectual Property: All data, publications, and research outputs generated by the Astronomer during the term of this Purchase Order shall be jointly owned by GCIAPR and the Astronomer, with GCIAPR retaining primary publication rights for federally funded projects.
  4. Compliance: The Astronomer shall comply with all applicable federal, Texas state, and Houston municipal laws, including but not limited to the Americans with Disabilities Act, OSHA safety regulations, and the Texas Occupations Code governing licensed professionals.
  5. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the Astronomer shall be compensated for all services rendered through the termination date.
  6. Insurance: The Astronomer shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence, naming GCIAPR as an additional insured party.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes shall be resolved through binding arbitration in Harris County, Houston, Texas.
  8. Non-Solicitation: During the term of this Purchase Order and for a period of twelve (12) months thereafter, the Astronomer shall not solicit GCIAPR personnel or clients for competing engagements within the Houston, United States metropolitan area.
