1. Acceptance of Purchase Order: This Purchase Order constitutes a binding agreement between the Buyer and Astronomer Scientific Instruments & Optics, Inc. upon signature by both parties. By accepting this Purchase Order, Astronomer agrees to supply all listed goods and services in accordance with the specifications, quantities, and timelines stated herein. All deliveries shall be made to the designated Ship-To address located in United States Los Angeles, California.
2. Delivery and Shipping: Astronomer shall deliver all items via insured freight to the Buyer’s facility in United States Los Angeles no later than the Required Delivery Date specified above. Title and risk of loss shall transfer to the Buyer upon physical receipt and inspection at the United States Los Angeles receiving dock. All shipping, handling, and insurance costs are included in the Purchase Order total. Astronomer is responsible for coordinating all logistics within the United States Los Angeles metropolitan area, including final-mile delivery and unloading assistance.
3. Inspection and Acceptance: The Buyer reserves the right to inspect all Astronomer products upon arrival in United States Los Angeles. Any items found to be damaged, defective, or non-conforming to the specifications outlined in this Purchase Order must be reported to Astronomer within five (5) business days of delivery. Astronomer shall, at its sole expense, replace or repair any non-conforming items within fifteen (15) business days of notification.
4. Payment Terms: Payment of the full Purchase Order amount of $232,900.63 shall be due within forty-five (45) calendar days from the date of invoice issuance by Astronomer. Payment shall be made via wire transfer to the bank account designated by Astronomer on the accompanying invoice. Late payments shall accrue interest at a rate of 1.5% per month. All payments are subject to the Buyer’s standard accounts payable verification procedures in United States Los Angeles.
5. Warranties: Astronomer warrants that all products supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of three (3) years from the date of installation in United States Los Angeles. The Astronomer warranty covers repair or replacement of defective components but does not cover damage resulting from misuse, unauthorized modification, or environmental conditions outside the specified operating parameters.
6. Installation and Training: As specified in Line Item 7, Astronomer shall provide on-site installation, commissioning, and comprehensive training for the Buyer’s technical staff at the United States Los Angeles facility. Training shall include a minimum of forty (40) hours of hands-on instruction covering operation, maintenance, and troubleshooting of all Astronomer equipment delivered under this Purchase Order.
7. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising from or related to this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, United States Los Angeles.
8. Confidentiality: Both parties agree to maintain the confidentiality of all proprietary information, pricing structures, and technical specifications exchanged in connection with this Purchase Order. Astronomer shall not disclose the terms of this Purchase Order to any third party without prior written consent from the Buyer.
9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, or supply chain disruptions affecting the United States Los Angeles region.
