All astronomical instruments must be packed in climate-controlled, shock-absorbing crates suitable for long-haul international transport. The buyer shall provide a dedicated receiving bay and forklift access at the Tashkent facility to facilitate unloading.

Payment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable letter of credit issued by a commercial bank operating in Tashkent, Uzbekistan, in favor of Astronomer International Supply Co., Ltd. The payment schedule is as follows:

1. 30% advance payment (USD 72,891.00) due within 10 business days of the execution of this Purchase Order.
2. 50% milestone payment (USD 121,485.00) due upon confirmed shipment and presentation of the Bill of Lading and commercial invoice.
3. 20% final payment (USD 48,594.00) due within 15 business days after successful installation, calibration, and acceptance of all Astronomer equipment at the Tashkent, Uzbekistan site.

All payments are subject to the standard banking fees of the issuing bank in Uzbekistan. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.

1. This Purchase Order constitutes a binding agreement between the Buyer in Tashkent, Uzbekistan, and the Seller, Astronomer International Supply Co., Ltd., upon signature by both authorized representatives.
2. All Astronomer products shall carry a minimum 24-month warranty from the date of acceptance at the Tashkent facility. Warranty claims shall be handled under the 24/7 Remote Technical Support contract referenced in Item 6.
3. The Seller warrants that all goods are new, unused, and free from defects in materials and workmanship. Any equipment found to be non-conforming upon delivery in Tashkent, Uzbekistan, shall be replaced at the Seller's sole expense within 30 calendar days.
4. Intellectual property rights for all Astronomer software, firmware, and documentation remain the exclusive property of Astronomer International Supply Co., Ltd. The Buyer is granted a non-transferable, site-specific license for use at the Tashkent observatory only.
5. Force majeure events, including but not limited to natural disasters, government sanctions, or international trade restrictions affecting Uzbekistan, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within 7 days.
6. Disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Geneva, Switzerland. The governing law shall be the United Nations Convention on Contracts for the International Sale of Goods (CISG).
7. This Purchase Order may not be amended, modified, or supplemented except by a written addendum signed by both parties.
