This Purchase Order is issued by Saigon Digital Infrastructure Co., Ltd. (hereinafter referred to as the "Buyer") to Astronomer, Inc. This Purchase Order constitutes a binding agreement between both parties upon full execution and shall govern all terms, conditions, obligations, and deliverables associated with the Astronomer platform deployment in Vietnam Ho Chi Minh City.

All hardware components and software deliverables associated with this Purchase Order for the Astronomer platform shall be shipped to the Buyer's facility in Vietnam Ho Chi Minh City no later than July 15, 2025. On-site installation, system configuration, and integration services by Astronomer engineers shall commence within five (5) business days of hardware arrival and shall be completed no later than August 1, 2025. The training program in Vietnam Ho Chi Minh City shall be scheduled between August 4 and August 8, 2025. The Buyer shall ensure that all necessary import permits, customs documentation, and facility access arrangements in Vietnam Ho Chi Minh City are finalized prior to the scheduled delivery date.
5. Payment TermsPayment for this Purchase Order shall be made in United States Dollars (USD) via international wire transfer to the account designated by Astronomer, Inc. The payment schedule is as follows:
- 40% Advance Payment ($138,622.00) — Due within ten (10) business days of full execution of this Purchase Order.
- 40% Milestone Payment ($138,622.00) — Due upon successful completion of on-site installation and system verification in Vietnam Ho Chi Minh City.
- 20% Final Payment ($69,311.00) — Due within fifteen (15) business days following completion of the training program and issuance of the final acceptance certificate.
- This Purchase Order is governed by the commercial laws of the Socialist Republic of Vietnam and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- All Astronomer software licenses granted under this Purchase Order are non-transferable and restricted to use exclusively at the Buyer's premises in Vietnam Ho Chi Minh City.
- The Seller (Astronomer, Inc.) warrants that all hardware and software delivered shall be free from defects in materials and workmanship for a period of twelve (12) months from the date of acceptance in Vietnam Ho Chi Minh City.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
- The Seller shall comply with all applicable data protection regulations in Vietnam, including the Personal Data Protection Decree No. 13/2023/NĐ-CP, in connection with the Astronomer platform deployment.
- Force majeure events, including but not limited to natural disasters affecting Vietnam Ho Chi Minh City, shall extend delivery timelines proportionally without penalty to either party.
- This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of final acceptance, after which the Astronomer support and maintenance plan may be renewed by mutual written agreement.
