This Purchase Order authorises the engagement of the named Auditor firm to perform a comprehensive statutory and internal audit of Southern Cross Financial Holdings Pty Ltd for the financial year ending 30 June 2025. - Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Auditor firm. The Auditor must return a signed copy to the Purchasing Entity within five (5) business days of receipt.
- Performance Period: The Auditor shall commence fieldwork no later than 1 July 2025 and deliver the final audit report no later than 30 September 2025. All work shall be performed primarily at the Brisbane, Queensland office of the Purchasing Entity.
- Independence and Ethics: The Auditor must maintain strict independence in accordance with the Code of Ethics for Professional Accountants issued by the Australian Accounting Professional and Ethical Standards Board (APESB). Any conflict of interest must be disclosed in writing prior to commencement.
- Confidentiality: The Auditor shall treat all financial records, proprietary data, and internal documents of the Purchasing Entity as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: 40% of the total Purchase Order value shall be due upon commencement of fieldwork. The remaining 60% shall be due within thirty (30) calendar days of delivery and acceptance of the final audit report. All payments shall be made via electronic funds transfer (EFT) to the bank account nominated by the Auditor in Australia.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation under the Queensland Dispute Resolution Act 2022. If unresolved within thirty (30) days, the matter shall be referred to the courts of the State of Queensland, Australia, Brisbane jurisdiction.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Auditor shall be compensated for all services rendered up to the date of termination, plus reasonable out-of-pocket expenses incurred in Brisbane.
- Insurance: The Auditor must maintain professional indemnity insurance of no less than AUD $10,000,000 per claim throughout the duration of this engagement, with the Purchasing Entity named as an additional insured party.
- Compliance with Australian Law: The Auditor warrants that all services rendered under this Purchase Order shall comply with the Corporations Act 2001 (Cth), the Australian Privacy Principles (APPs) under the Privacy Act 1988 (Cth), and all relevant Queensland state legislation applicable to professional audit services in Australia Brisbane.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Brisbane region, government-mandated closures, or acts of God.
