This Purchase Order formally authorizes the engagement of the above-named Auditor to perform a comprehensive financial audit of Montreal Corporate Holdings Inc. and its subsidiaries operating within Canada Montreal and the broader Province of Quebec. The Auditor shall conduct all procedures in strict compliance with the Canadian Auditing Standards (CAS) as established by the Canadian Auditing Standards Board (CASB), the International Financial Reporting Standards (IFRS) as adopted in Canada, and all applicable regulations of the Autorité des marchés financiers (AMF) of Quebec.
The specific deliverables under this Purchase Order include, but are not limited to:

- Internal control assessment and risk evaluation across all operational divisions located in Canada Montreal.
- Compliance review with the Quebec Charter of the French Language (Bill 96) as it pertains to corporate financial reporting and documentation.

Payment shall be made in three installments: 40% upon execution of this Purchase Order, 40% upon delivery of the draft audit report, and the remaining 20% upon final acceptance of the Auditor's completed report and management letter. All payments shall be processed via electronic funds transfer (EFT) to the Auditor's designated account in Canada Montreal.
This Purchase Order is governed by and shall be interpreted in accordance with the Civil Code of Quebec and the federal laws of Canada applicable in the jurisdiction of Canada Montreal. The Auditor acknowledges that all work performed under this engagement shall be conducted with the utmost professional diligence, independence, and objectivity as required by the OCPAQ Code of Professional Conduct.
The Auditor warrants that no conflict of interest exists or shall arise during the term of this Purchase Order. Should any such conflict emerge, the Auditor shall notify the issuing entity in writing within forty-eight (48) hours. The Auditor shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD, naming Montreal Corporate Holdings Inc. as an additional insured party.
All documents, reports, and working papers produced by the Auditor in connection with this Purchase Order shall be prepared in French or bilingual (French and English) in compliance with the language legislation of the Province of Quebec. The Auditor shall retain all audit documentation for a minimum period of seven (7) years in a secure facility located in Canada Montreal, in accordance with the record-keeping requirements of the AMF.
Disputes arising from this Purchase Order shall be resolved through mediation in Canada Montreal before the Chambre de commerce du Montréal métropolitain, and failing resolution, through the competent courts of the judicial district of Montreal, Province of Quebec, Canada.
By signing below, both parties confirm their mutual agreement to the terms set forth in this Purchase Order for the engagement of the Auditor in Canada Montreal. This document constitutes a binding contractual obligation upon execution by both authorized representatives.
