This Purchase Order is issued by Alexandria Coastal Industrial Holdings S.A.E. to engage the services of a qualified Auditor firm for the comprehensive financial and operational audit of the company's fiscal year 2024–2025. The Auditor shall perform all procedures in accordance with the International Standards on Auditing (ISA) as adopted by the Egyptian Auditors Authority and the Egyptian Financial Accounting Standards (EFAS). The engagement is to be conducted primarily at the company's headquarters in Egypt Alexandria, with supplementary fieldwork at the company's manufacturing facilities located in the Borg El-Arab Industrial Zone, Alexandria Governorate.
The Auditor shall deliver an independent opinion on the truthfulness and fairness of the financial statements, assess internal control systems, verify compliance with Egyptian tax law (including the Egyptian Tax Authority regulations applicable in Alexandria), and provide a management letter detailing any material weaknesses identified during the audit process.

- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Auditor firm within five (5) business days of the date of issue. Failure to respond within this period shall constitute a declination of this Purchase Order.
- Payment Terms: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of fieldwork in Egypt Alexandria, and 30% upon delivery of the final audit report and management letter. All payments shall be made via bank transfer to the account designated by the Auditor firm, domiciled at a licensed bank in Alexandria, Egypt.
- Timeline: The Auditor shall commence fieldwork no later than 1 July 2025 and shall deliver the final audit opinion no later than 30 September 2025. Any delay attributable to the Auditor shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
- Confidentiality: The Auditor and all personnel engaged under this Purchase Order shall maintain strict confidentiality of all financial records, trade secrets, and proprietary information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Professional Standards: The Auditor shall perform all services in strict compliance with the Egyptian Auditors Authority regulations, the Egyptian Companies Law No. 159 of 1981 (as amended), and applicable international auditing standards. The Auditor shall maintain professional independence and shall disclose any potential conflict of interest prior to commencing work.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be submitted to the competent courts of Alexandria, Egypt, or to arbitration under the rules of the Egyptian Arbitration Centre, with the seat of arbitration in Alexandria.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the Alexandria region.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay the Auditor for all services rendered up to the date of termination, less any applicable deductions.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, with particular reference to regulations applicable in the Alexandria Governorate.
The Auditor shall deliver the following documents to the Buyer's offices in Egypt Alexandria:
- Final Audit Report with Independent Auditor's Opinion (3 hard copies + 1 digital copy in PDF format)
- Management Letter identifying internal control deficiencies and recommended remediations
- Tax Compliance Certificate confirming alignment with Egyptian Tax Authority requirements
- Internal Control Assessment Report with risk matrix
- Working papers summary (available for inspection upon request)
