This Purchase Order is issued by Nile Delta Financial Holdings S.A.E. to formally engage the above-named Auditor firm to perform a comprehensive statutory and operational audit of all financial records, internal controls, and compliance documentation pertaining to the fiscal year 2024. The scope of the Auditor's engagement is specifically limited to all business operations, branches, and subsidiaries physically located within Egypt Cairo, including but not limited to the Downtown headquarters, the Maadi regional office, and the New Cairo logistics facility.
The Auditor shall conduct fieldwork in accordance with International Standards on Auditing (ISA) as adopted by the Egyptian Financial Accounting Standards Authority (FASB-EG) and in full compliance with the Egyptian Companies Law No. 159 of 1981 (as amended), the Egyptian Tax Law No. 91 of 2005, and all applicable regulations issued by the Central Bank of Egypt and the Egyptian Financial Regulatory Authority (EFRA).

4.1 Payment Terms: Payment shall be made in Egyptian Pounds (EGP) via bank transfer to the Auditor's designated account at Commercial International Bank, Egypt Cairo branch. A 30% advance payment (EGP 432,288.00) is due upon acceptance of this Purchase Order. The remaining 70% shall be paid in two equal installments: 50% upon submission of the draft audit report and 50% upon delivery of the final signed audit opinion and management letter.
4.2 Timeline: The Auditor shall commence fieldwork no later than 20 June 2025 and shall deliver the final audit report, including the unqualified or qualified opinion, no later than 30 September 2025. All interim progress reports shall be submitted to the Internal Audit & Compliance Department of Nile Delta Financial Holdings, Egypt Cairo headquarters, on a bi-weekly basis.
4.3 Confidentiality: The Auditor and all personnel assigned to this engagement shall maintain strict confidentiality of all financial data, proprietary information, and trade secrets of Nile Delta Financial Holdings. This obligation survives the termination of this Purchase Order for a period of five (5) years in accordance with Egyptian Law No. 175 of 2018 on the Protection of Personal Data.
4.4 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any dispute arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Egypt Cairo, and the parties may, at the discretion of the buyer, refer the matter to the Egyptian Arbitration Center (EAC) located in Cairo for binding arbitration.
4.5 Professional Standards: The Auditor warrants that all services shall be performed in strict adherence to the Code of Ethics for Professional Accountants issued by the ICAA and the Egyptian Financial Accounting Standards. The Auditor shall maintain professional indemnity insurance with a minimum coverage of EGP 5,000,000, valid throughout the duration of the engagement in Egypt Cairo.
4.6 Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Auditor shall be compensated for all work completed up to the date of termination, plus a 10% administrative fee, subject to a maximum liability of 50% of the total contract value.
4.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures in Egypt Cairo, natural disasters, or changes in Egyptian regulatory law affecting audit practices.
This Purchase Order becomes effective upon written acceptance by the Auditor and countersignature by the authorized representative of Nile Delta Financial Holdings S.A.E. The Auditor shall return a signed copy of this document to the Procurement Department, Egypt Cairo office, within five (5) business days of receipt.
