This Purchase Order is issued by Meridian Infrastructure Holdings Pvt. Ltd. (hereinafter referred to as the "Buyer"), a company incorporated under the Companies Act, 2013 and having its principal place of business in India New Delhi, to formally engage the services of Sharma & Associates Chartered Accountants (hereinafter referred to as the "Auditor" or the "Vendor") for the conduct of a comprehensive statutory and internal audit of the Buyer's financial records, operational processes, and compliance posture for the financial year 2024–2025.
The Auditor shall perform all duties and responsibilities as prescribed under Section 139 and Section 143 of the Companies Act, 2013, read with the applicable rules framed by the Ministry of Corporate Affairs, Government of India. The scope of this engagement is specifically tailored to the regulatory environment of India New Delhi and the broader National Capital Territory, ensuring full alignment with local tax authorities, the Securities and Exchange Board of India (SEBI), and the Income Tax Department of India.

3.1 Payment shall be made in three (3) equal installments: (a) 40% upon execution of this Purchase Order and commencement of the Auditor's fieldwork; (b) 35% upon submission of the draft audit report; and (c) 25% upon final acceptance of the Auditor's Report and Management Letter by the Board of Directors of the Buyer.
3.2 All payments shall be made via National Electronic Funds Transfer (NEFT) or Real-Time Gross Settlement (RTGS) to the bank account designated by the Auditor. The Buyer shall deduct Tax Deducted at Source (TDS) at the rate of 10% under Section 194J of the Income Tax Act, 1961, as applicable to professional fees paid to a Chartered Accountant firm in India New Delhi.
3.3 The Auditor shall be entitled to a 1.5% monthly interest on any overdue payment, calculated from the due date until the date of actual payment, in accordance with the terms stipulated in this Purchase Order.
3.4 No payment shall be released until the Auditor provides a valid GST tax invoice, a TDS certificate (Form 16A), and a compliance declaration confirming that all statutory obligations under Indian law have been met.
4.1 The Auditor shall maintain strict confidentiality of all financial data, trade secrets, and proprietary information of the Buyer. Any breach of confidentiality shall render the Auditor liable for damages as per the Indian Contract Act, 1872, and applicable data protection regulations.
4.2 The Auditor shall be independent and free from any conflict of interest. The Auditor shall not provide any non-audit services (such as bookkeeping, tax return preparation, or management consulting) to the Buyer during the audit period, in compliance with the ICAI Code of Ethics applicable in India New Delhi.
4.3 The Auditor shall ensure that all audit staff assigned to this engagement are qualified Chartered Accountants or articles trained under the Institute of Chartered Accountants of India (ICAI) and are physically present at the Buyer's premises in New Delhi, India, during fieldwork periods.
4.4 This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
4.5 The Auditor shall indemnify the Buyer against any loss, damage, or liability arising from negligence, gross error, or willful misconduct in the performance of audit services under this Purchase Order.
4.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Auditor shall be compensated for work completed up to the date of termination, subject to a final reconciliation.
This Purchase Order is issued in accordance with the internal procurement policy of Meridian Infrastructure Holdings Pvt. Ltd. and has been approved by the Finance Committee of the Board. The Auditor is requested to confirm acceptance of all terms and conditions by signing below and returning a copy of this Purchase Order within five (5) business days of receipt.
