All prices are quoted in Israeli New Shekels (ILS). VAT is applied at the current Israeli rate of 18% as mandated by the Israel Tax Authority. The Auditor shall issue a VAT-compliant invoice in accordance with Israeli tax regulations.

  1. Independence & Professional Standards: The Auditor shall maintain full independence in accordance with the ICAA Code of Ethics and the International Standards on Auditing (ISA) as adopted in Israel. The Auditor warrants that no conflict of interest exists between the engagement and any other client relationship within the Tel Aviv professional community.
  2. Confidentiality: All financial data, trade secrets, and proprietary information accessed by the Auditor during the engagement in Tel Aviv shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from Levant Financial Holdings Ltd., in compliance with the Israeli Privacy Protection Law, 5741-1981.
  3. Delivery of Work Product: The Auditor shall deliver the final audit report, management letter, and all supporting schedules to the Company’s Chief Financial Officer at the Tel Aviv headquarters no later than 30 September 2025. Electronic copies in PDF format shall be transmitted via secure encrypted email.
  4. Payment Schedule: 40% of the total Purchase Order value shall be due upon execution of this document. 40% shall be due upon completion of fieldwork in Tel Aviv. The remaining 20% shall be due upon delivery and acceptance of the final audit opinion. All payments shall be made via bank transfer to the Auditor’s designated account in Israel.
  5. Termination: Either party may terminate this Purchase Order with 30 days’ written notice. In the event of termination, the Auditor shall be compensated for all work performed up to the termination date, plus reasonable expenses incurred in Tel Aviv.
  6. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through binding arbitration in Tel Aviv, Israel, in accordance with the rules of the Tel Aviv Arbitration Center, under the Israeli Arbitration Law, 5728-1968.
  7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures in Israel, natural disasters, or national security directives issued by the State of Israel.
