This Purchase Order is issued by Grupo Financiero del Centro, S.A. de C.V. (hereinafter referred to as the "Buyer") to formally engage the services of Auditoría Integral del Valle, S.C. (hereinafter referred to as the "Auditor" or "Service Provider") for the provision of comprehensive financial, operational, and compliance auditing services. The Auditor shall perform all duties and obligations as specified herein, with all work to be conducted primarily at the Buyer's headquarters located in Mexico, Mexico City, and at such other locations within Mexico, Mexico City as may be reasonably required during the engagement period.

The Auditor is a registered and licensed firm of certified public accountants (Contadores Públicos Certificados) duly authorized by the Mexican Federal Tax Administration (Servicio de Administración Tributaria – SAT) and the Mexican Institute of Public Accountants (Instituto Mexicano de Contadores Públicos – IMCP). The Auditor shall ensure that all services rendered comply with the applicable Mexican Generally Accepted Accounting Principles (NIF – Normas de Información Financiera), International Standards on Auditing (ISA), and all relevant regulations established by the Mexican Securities Exchange Commission (Comisión Nacional del Mercado de Valores – CNBV).

  1. Engagement Period: The Auditor shall commence work on July 1, 2025, and shall complete all deliverables no later than October 31, 2025. All fieldwork, interviews, and on-site inspections shall take place at the Buyer's premises in Mexico, Mexico City, unless otherwise agreed in writing.
  2. Payment Terms: Payment shall be made in three (3) equal installments of MXN $632,200.00 each. The first installment is due upon execution of this Purchase Order. The second installment is due upon completion of the interim audit report. The third and final installment is due upon delivery and acceptance of the final Auditor's report. All payments shall be made via bank transfer to the account designated by the Auditor.
  3. Confidentiality: The Auditor acknowledges that in the course of performing services under this Purchase Order, the Auditor will have access to proprietary, confidential, and sensitive financial information of the Buyer. The Auditor shall maintain strict confidentiality in accordance with the Mexican Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) and shall not disclose any information to third parties without prior written consent of the Buyer.
  4. Independence and Objectivity: The Auditor warrants that it and its personnel shall maintain full independence and objectivity throughout the engagement. The Auditor shall disclose any potential conflicts of interest in writing prior to commencing work in Mexico, Mexico City.
  5. Deliverables: The Auditor shall deliver a comprehensive written report in both Spanish and English, including findings, observations, recommendations, and an unqualified or qualified opinion as applicable. All reports shall be submitted to the Buyer's General Counsel and Chief Financial Officer at the offices in Mexico, Mexico City.
  6. Applicable Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the United Mexican States, particularly the Mexican Civil Code and the Commercial Code. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of Mexico, Mexico City.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay the Auditor for all services rendered up to the date of termination, as documented in a partial report.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Mexico, Mexico City.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Auditor. This document constitutes a binding agreement between the parties for the provision of auditing services in Mexico, Mexico City.

This Purchase Order (PO MXC-2025-04871) is valid for a period of ninety (90) days from the date of issue. This document was prepared and executed in Mexico, Mexico City. All references to "Mexico, Mexico City" in this document refer to the Federal District / Mexico City, the capital of the United Mexican States. This Purchase Order is issued in two (2) original copies, one for each party.
