This Purchase Order is issued by Al-Madina Industrial Holdings (Pvt.) Ltd., a registered corporate entity operating in Pakistan Islamabad, to formally engage the services of a qualified Auditor and associated audit team for the fiscal year 2024–2025. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising from this engagement shall be resolved through arbitration in Islamabad, Pakistan, in accordance with the Arbitration Act 1940.
- Auditor Independence: The Auditor and all members of the audit team shall maintain strict independence and objectivity as mandated by the ICAP Code of Ethics. No conflict of interest shall exist between the Auditor and the Buyer during the engagement period.
- Timeline: The Auditor shall commence fieldwork no later than 1 August 2025 and shall deliver the final audit opinion and management letter by 30 September 2025. All work shall be performed primarily at the Buyer's premises in Pakistan Islamabad.
- Payment Schedule: 30% advance upon acceptance of this Purchase Order; 40% upon completion of fieldwork; 30% upon delivery of the final audit report. All payments shall be made via bank transfer to the account designated by the Auditor in Islamabad.
- Confidentiality: The Auditor shall treat all financial records, trade secrets, and proprietary information of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Auditor shall ensure full compliance with the Companies Act 2017, the Securities and Exchange Commission of Pakistan (SECP) regulations, and all applicable tax laws of Pakistan Islamabad.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Auditor shall be compensated for all work completed up to the date of termination.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Pakistan Islamabad, or pandemics.
- Acceptance: This Purchase Order becomes binding upon written acceptance by the Auditor. The Auditor's acceptance constitutes full agreement to all terms, conditions, and scope of work outlined herein.
