This Purchase Order is issued by Meridian Corporate Holdings Ltd to formally engage the services of Thornbridge & Associates Audit LLP as the appointed Auditor for the financial year ending 30 June 2026. The Auditor shall conduct a full statutory audit of the company’s financial statements in accordance with the Companies Act 2006, the applicable Financial Reporting Standards (FRS 102), and the standards and ethical requirements established by the Financial Reporting Council (FRC) and the Auditing Practices Board, all as applicable within the jurisdiction of the United Kingdom London and the wider United Kingdom.
The Auditor shall perform all duties and obligations as set out in the engagement letter dated 20 May 2025, which is incorporated herein by reference. The scope of the audit engagement encompasses the examination of the general ledger, subsidiary ledgers, bank reconciliations, fixed asset registers, inventory valuations, revenue recognition procedures, and all material transactions recorded during the financial year. The Auditor shall issue an independent audit opinion to be delivered to the shareholders of Meridian Corporate Holdings Ltd at the Annual General Meeting to be held in United Kingdom London.

All amounts are stated in British Pounds Sterling (GBP). VAT is charged at the standard rate of 20% in accordance with HM Revenue & Customs regulations applicable in the United Kingdom.
- Governing Law and Jurisdiction: This Purchase Order and the services rendered under it shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the United Kingdom London.
- Auditor Independence: The Auditor shall maintain strict independence and objectivity throughout the engagement in compliance with the FRC’s Ethical Standard for Auditors. The Auditor shall not undertake any non-audit services that would impair independence without prior written consent from the Audit Committee of Meridian Corporate Holdings Ltd.
- Professional Standards: The Auditor shall perform all audit procedures in accordance with International Standards on Auditing (UK) as issued by the FRC, the Companies Act 2006, and all applicable regulatory requirements for entities registered and operating in the United Kingdom London.
- Confidentiality and Data Protection: The Auditor shall handle all financial records, management accounts, and sensitive corporate information in strict confidence. All data processing shall comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
- Delivery of Audit Report: The final audit report and accompanying management letter shall be delivered to the registered office of Meridian Corporate Holdings Ltd at 142 Fleet Street, London EC4A 2BL, no later than 28 February 2026, to facilitate timely filing with Companies House.
- Payment and Invoicing: Invoices shall be submitted monthly in arrears. Payment shall be made by BACS transfer to the account specified by the Auditor within 30 days of receipt of a valid invoice. Late payments shall attract interest at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998.
- Termination: Either party may terminate this Purchase Order with 60 days’ written notice. In the event of termination, the Auditor shall be compensated for all work completed up to the date of termination, and all company records and working papers shall be returned to Meridian Corporate Holdings Ltd within 14 days.
- Insurance: The Auditor shall maintain professional indemnity insurance of no less than £10,000,000 per claim throughout the duration of this engagement, as is standard practice for registered Auditor firms operating in the United Kingdom London.
- Anti-Bribery and Corruption: The Auditor warrants compliance with the Bribery Act 2010 and shall not, directly or indirectly, offer, give, or accept any bribe in connection with the performance of services under this Purchase Order.
This Purchase Order constitutes a binding procurement commitment upon signature by both parties. By accepting this Purchase Order, the Auditor acknowledges the scope, fees, and terms set out herein and agrees to perform the audit engagement in full compliance with all applicable United Kingdom London and national regulatory requirements.
