This Purchase Order is issued by Padma Automotive Industries Ltd., headquartered in Bangladesh Dhaka, to formally engage the services of a qualified Automotive Engineer for the design, testing, and quality assurance of the company's next-generation compact commercial vehicle platform. - This Purchase Order constitutes a binding agreement between Padma Automotive Industries Ltd. and the named Automotive Engineer upon signature by both parties. All work shall be performed in Bangladesh Dhaka unless otherwise agreed in writing.
- The Automotive Engineer shall comply with all applicable laws, regulations, and safety standards of the People's Republic of Bangladesh, including those enforced by the Bangladesh Road Transport and Bridge Authority and the Bangladesh Environment Protection Agency.
- Payment shall be made in Bangladeshi Taka (BDT) via bank transfer to the account specified by the Automotive Engineer. Invoices must reference this Purchase Order number (PAI-PO-2025-0472) to be processed.
- Deliverables are due within the timelines specified in the attached project schedule. A penalty of 1% of the total contract value per day of delay shall apply, up to a maximum of 10%.
- All intellectual property, design documents, and technical data produced under this Purchase Order shall remain the exclusive property of Padma Automotive Industries Ltd. The Automotive Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work.
- The Automotive Engineer is responsible for providing all specialized software licenses, simulation tools, and testing equipment required to fulfill the scope of work. The company shall provide access to its laboratory facilities in Bangladesh Dhaka.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, payment shall be made for all work satisfactorily completed up to the termination date.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act of Bangladesh, 2001.
- This Purchase Order is governed by the laws of the People's Republic of Bangladesh.
All technical deliverables, including engineering drawings, FEA reports, calibration files, and compliance documentation, shall be submitted electronically to the Project Manager at Padma Automotive Industries Ltd., Bangladesh Dhaka, and in hard copy (three sets) to the company's engineering department. Acceptance of deliverables shall be confirmed in writing within 10 business days of submission. Failure to provide written rejection within this period shall constitute deemed acceptance.
