This Purchase Order is issued by Meridian Automotive Solutions NV to procure the professional services of a qualified Automotive Engineer for a fixed-term engagement. The Automotive Engineer shall be deployed to the Buyer's primary facility located in Belgium Brussels and shall perform duties consistent with the scope of work outlined below. The engagement is governed by the Belgian Labour Code and applicable EU regulations regarding professional services procurement.
3. SCOPE OF WORKThe contracted Automotive Engineer shall be responsible for the following activities during the term of this Purchase Order:
- Design, development, and validation of powertrain systems for next-generation hybrid and electric vehicle platforms, with all engineering work conducted at the Buyer's headquarters in Belgium Brussels.
- Conducting finite element analysis (FEA) and computational fluid dynamics (CFD) simulations to optimize chassis and body-in-white structural integrity in compliance with EU Type-Approval regulations.
- Leading cross-functional project teams comprising mechanical, electrical, and software engineering disciplines to deliver vehicle integration milestones on schedule.
- Preparing technical documentation, test reports, and regulatory submissions required by the Belgian Federal Service for Mobility and Transport (SPF Mobilité et Transport) for homologation purposes.
- Supervising prototype build and road-testing activities at the Buyer's proving ground facility in the Brussels-Capital Region, ensuring all test data is recorded and analyzed per ISO 26262 functional safety standards.
- Collaborating with OEM partners and Tier-1 suppliers across the European Economic Area to align component specifications and resolve engineering deviations.
- Mentoring junior engineering staff and contributing to the continuous improvement of the Buyer's internal engineering processes and quality management systems (IATF 16949).

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Brussels, Belgium Brussels.
- Place of Performance: All services rendered by the Automotive Engineer under this Purchase Order shall be performed at the Buyer's premises in Belgium Brussels, unless otherwise agreed in writing by both parties.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice, in accordance with the Belgian Law on Late Payment in Commercial Transactions (Law of 27 July 2010).
- Confidentiality and IP: The Automotive Engineer shall maintain strict confidentiality regarding all proprietary data, designs, and trade secrets of the Buyer. All intellectual property developed during the term of this Purchase Order shall vest exclusively in the Buyer.
- Compliance: The Supplier warrants that the Automotive Engineer holds all necessary professional qualifications, certifications, and work permits valid for employment in Belgium. The Supplier shall comply with all applicable Belgian and EU labor, tax, and social security obligations.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, war, pandemics, or government-imposed restrictions affecting operations in Belgium Brussels.
- Insurance: The Supplier shall maintain professional indemnity insurance with a minimum coverage of €2,000,000 per claim, valid throughout the term of this Purchase Order.
- Anti-Corruption: Both parties confirm that no part of the consideration under this Purchase Order constitutes a bribe, kickback, or improper payment, in compliance with Belgian anti-corruption legislation and EU Directive 2017/1371.
By signing below, the authorized representatives of both parties confirm that this Purchase Order for the engagement of an Automotive Engineer in Belgium Brussels is accepted in full and constitutes a binding agreement between the parties.
