This Purchase Order is issued by Meridian Automotive Solutions Ltda. to formally request and authorize the engagement of a qualified Automotive Engineer to provide specialized technical consulting and project management services for the development and validation of next-generation powertrain systems. The Automotive Engineer shall be based and perform all duties within the metropolitan area of Brazil Rio de Janeiro, specifically at the Meridian Automotive Solutions facility located in Barra da Tijuca, Rio de Janeiro, RJ.
The scope of work for the Automotive Engineer includes, but is not limited to: design review and optimization of hybrid drivetrain components; coordination of prototype testing at the Rio de Janeiro proving grounds; compliance verification against Brazilian INMETRO and CONAMA environmental regulations; technical documentation preparation in accordance with ISO 26262 functional safety standards; and on-site supervision of manufacturing processes at the supplier's facility in Duque de Caxias, Rio de Janeiro.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, specifically the Brazilian Civil Code (Lei nº 10.406/2002) and applicable commercial regulations of the State of Rio de Janeiro.
- Place of Performance: All services rendered under this Purchase Order by the Automotive Engineer shall be performed exclusively within the city and metropolitan region of Brazil Rio de Janeiro, unless otherwise agreed in writing by both parties.
- Commencement Date: The Automotive Engineer shall commence duties no later than 01 August 2025 at the Meridian Automotive Solutions facility in Barra da Tijuca, Rio de Janeiro, RJ.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer (TED/PIX) to the account designated by TechDrive Engineering Consultancy S.A. within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1% per month plus SELIC index, as per Brazilian commercial law.
- Confidentiality: The Automotive Engineer shall maintain strict confidentiality regarding all proprietary designs, engineering data, and trade secrets of Meridian Automotive Solutions Ltda. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Intellectual Property: All work product, designs, reports, and documentation created by the Automotive Engineer in the course of performing services under this Purchase Order shall be the exclusive property of Meridian Automotive Solutions Ltda.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Automotive Engineer shall complete all in-progress deliverables and submit a final transition report within fifteen (15) days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Rio de Janeiro, RJ, Brazil, in accordance with the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá), with proceedings conducted in Portuguese.
- Compliance: The Automotive Engineer shall comply with all applicable Brazilian labor laws, occupational health and safety regulations (NRs), and environmental standards enforced by INEA (Instituto Estadual do Ambiente) in the State of Rio de Janeiro.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Rio de Janeiro region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Automotive Engineer in Brazil Rio de Janeiro. This document constitutes a binding commercial agreement between the parties upon execution.
