• All engineering deliverables, including CAD models, simulation reports, test data, and FMEA documentation, shall be produced in the formats specified by Meridian Automotive Solutions and delivered to the São Paulo R&D facility no later than the deadlines stated in the project Gantt chart.
• The Automotive Engineer is required to maintain valid CREA-SP registration throughout the contract period and shall bear full professional and technical liability for the engineering work performed, as governed by Brazilian Law No. 5,194/1966 and the applicable São Paulo state engineering regulations.
• Confidentiality: All proprietary data, design files, and trade secrets of Meridian Automotive Solutions and its OEM clients are strictly confidential. The Automotive Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. Breach of confidentiality shall result in immediate termination and legal action under Brazilian Law No. 9,279/1996 (Industrial Property Law).
• Health, Safety & Environment: The Automotive Engineer shall comply with all occupational safety regulations (NR-01 through NR-36) enforced by the São Paulo state labor inspection authority (FISCALIZAÇÃO DO TRABALHO) while on-site at the Meridian facility or any client OEM plant within the São Paulo metropolitan area.
• Subcontracting: The Automotive Engineer shall not subcontract any portion of the services defined in this Purchase Order without prior written authorization from the Purchasing Entity's Procurement Director.

• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Automotive Engineer shall be compensated for all hours worked and approved deliverables completed up to the termination date.
• Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within fifteen (15) business days, the matter shall be submitted to the competent courts of the city of São Paulo, State of São Paulo, Brazil, in accordance with Brazilian procedural law (Código de Processo Civil, Law No. 13,105/2015).
