This Purchase Order is issued by Montreal Automotive Innovation Group Inc. to procure the professional services of a qualified Automotive Engineer to support the development, testing, and validation of next-generation powertrain systems for the Canada Montreal manufacturing facility. - Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Invoices shall be submitted monthly by the 5th business day. All payments shall be processed via electronic funds transfer (EFT) to the supplier's designated account in Canada Montreal.
- Performance Standards: The Automotive Engineer shall deliver all engineering deliverables, design documents, test reports, and validation summaries in accordance with the project milestones outlined in Appendix A of this Purchase Order. Failure to meet milestones without prior written approval from the Buyer shall result in a penalty of 2% of the monthly fee per week of delay.
- Intellectual Property: All work product, designs, prototypes, code, and documentation created by the Automotive Engineer in the course of this engagement shall be the sole and exclusive property of Montreal Automotive Innovation Group Inc. The supplier hereby assigns all intellectual property rights arising from this Purchase Order to the Buyer.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data exchanged under this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
- Compliance: The Automotive Engineer shall comply with all applicable federal and provincial laws of Canada, including but not limited to the Canada Labour Code, the Quebec Charter of Human Rights and Freedoms, and all environmental regulations applicable to automotive manufacturing in Canada Montreal.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- Insurance: The supplier shall maintain professional liability insurance with a minimum coverage of CAD $2,000,000 per occurrence and general liability insurance of CAD $1,000,000, with the Buyer named as an additional insured. Certificates of insurance shall be provided prior to commencement of work.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Canada Montreal in accordance with the rules of the Quebec Arbitration Association.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, or supply chain disruptions affecting the Canada Montreal region.
- Entire Agreement: This Purchase Order, together with all attached appendices and schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Automotive Engineer services in Canada Montreal. This document is valid for a period of ninety (90) days from the date of issue, after which it shall expire unless renewed in writing.
