2. The Automotive Engineer(s) engaged under this Purchase Order shall maintain all professional engineering licences and certifications required by the Professional Engineers Ontario (PEO) regulatory body. Proof of good standing shall be provided prior to commencement of work.
3. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-AT-0472) and include the vendor's Business Number for tax compliance under the Canada Revenue Agency (CRA) guidelines applicable in Canada Toronto.
4. All intellectual property, design documents, simulation data, and technical reports produced by the Automotive Engineer in the course of this engagement shall be the sole property of Northgate Automotive Systems Inc. The vendor shall execute a non-disclosure agreement (NDA) prior to receiving any proprietary information.
5. The vendor shall comply with all applicable federal and provincial labour laws, including the Canada Labour Code and the Ontario Employment Standards Act, 2000, as they pertain to the engagement of engineering professionals in Canada Toronto.
6. Any changes to scope, duration, or deliverables must be documented in a formal Purchase Order amendment signed by both parties. Verbal modifications shall not be recognized.
7. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Canada Toronto before pursuing arbitration under the rules of the Arbitration Institute of the Chartered Institute of Arbitrators (CIArb), Canada branch.
8. This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms set forth in this Purchase Order. The Automotive Engineer services described herein shall commence on July 1, 2025, and the contractual period shall extend through December 31, 2025, subject to the line-item durations specified in Section 4.
