This Purchase Order is issued by Guangzhou AutoTech Manufacturing Co., Ltd. (hereinafter referred to as the "Buyer") to Shenzhen Precision Engineering Consultants Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Automotive Engineer to provide specialized technical services at the Buyer's manufacturing and research facility located in China Guangzhou. The Automotive Engineer shall be responsible for the design, development, testing, and optimization of next-generation powertrain systems, advanced driver-assistance systems (ADAS), and vehicle structural integrity assessments in accordance with the project specifications outlined in Appendix A of this Purchase Order.
The Automotive Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Automotive Engineering, Mechanical Engineering, or a closely related discipline from an accredited institution. The candidate must possess a minimum of eight (8) years of progressive professional experience in the automotive sector, with demonstrated expertise in hybrid and electric vehicle platform development, thermal management systems, and compliance with China's GB national standards for automotive safety and emissions. The Automotive Engineer shall report directly to the Director of Engineering Operations at the China Guangzhou facility and shall be embedded within the Buyer's core engineering team for the full duration of this Purchase Order.

- Acceptance: This Purchase Order shall become binding upon written acceptance by both parties. The Supplier must confirm acceptance of this Purchase Order within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order null and void.
- Performance Location: All services described in this Purchase Order shall be performed exclusively at the Buyer's facility in China Guangzhou, specifically at No. 88 Tianhe Avenue, Tianhe District, Guangzhou, Guangdong Province. The Automotive Engineer(s) shall be required to be physically present at the China Guangzhou site for a minimum of five (5) days per week, Monday through Friday, between the hours of 08:30 and 17:30 local time.
- Payment Terms: Payment for services rendered under this Purchase Order shall be made in monthly installments. The Buyer shall remit payment within thirty (30) days of receipt of a valid invoice from the Supplier. All payments shall be made in Chinese Yuan (CNY) via bank transfer to the account designated by the Supplier. A late payment penalty of 0.05% per calendar day shall apply to overdue amounts.
- Quality Assurance: The Automotive Engineer engaged under this Purchase Order shall adhere to the Buyer's internal quality management system, which is certified to ISO/TS 16949:2016. All design outputs, test results, and engineering reports produced by the Automotive Engineer must undergo a two-stage review process before final acceptance by the Buyer's Quality Assurance department in China Guangzhou.
- Intellectual Property: All intellectual property, designs, prototypes, documentation, and trade secrets developed by the Automotive Engineer during the term of this Purchase Order shall be the sole and exclusive property of the Buyer. The Supplier and the Automotive Engineer hereby assign all such rights to the Buyer upon creation. The Automotive Engineer shall sign a separate Non-Disclosure Agreement (NDA) and Intellectual Property Assignment Agreement prior to commencing work at the China Guangzhou facility.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of material breach by the Supplier, the Buyer may terminate this Purchase Order immediately upon written notice. Upon termination, the Supplier shall deliver all work-in-progress materials, documentation, and prototypes to the Buyer's China Guangzhou facility within seven (7) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, China.
- Compliance: The Supplier warrants that the Automotive Engineer engaged under this Purchase Order shall comply with all applicable Chinese labor laws, immigration regulations, and professional licensing requirements. The Supplier is solely responsible for obtaining and maintaining all necessary work permits, visas, and professional certifications required for the Automotive Engineer to legally perform services in China Guangzhou.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, epidemics, or war. The affected party must notify the other party in writing within forty-eight (48) hours of the occurrence of such event.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. All amendments must reference the original Purchase Order number PO-CG-AE-2025-04872.
This Purchase Order has been reviewed and authorized by the undersigned representatives of both parties. By signing below, each party acknowledges that it has read, understood, and agrees to be bound by all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Automotive Engineer services in China Guangzhou.
