(hereinafter referred to as the "Buyer") to Dr. Wei Zhang & Associates Engineering (hereinafter referred to as the "Seller") for the engagement of a qualified Automotive Engineer to provide specialized technical consulting, design review, and project oversight services for the Buyer's next-generation electric vehicle platform development program. All services under this Purchase Order shall be performed in and around China Shanghai, with the primary work location being the Buyer's engineering facility in Pudong New Area, China Shanghai. The Automotive Engineer engaged under this Purchase Order shall possess a minimum of fifteen (15) years of hands-on experience in powertrain systems, vehicle dynamics, and advanced driver-assistance systems (ADAS) integration, and shall hold a valid professional engineering license recognized by the China Engineering Society.

The Automotive Engineer contracted under this Purchase Order shall deliver the following to the Buyer's project management office in China Shanghai:

• A comprehensive powertrain architecture feasibility report covering battery management system (BMS) topology, thermal management strategy, and motor-inverter integration, to be delivered no later than 30 days from the commencement date.
• Weekly progress reports submitted every Friday to the Buyer's designated project director, detailing hours logged, milestones achieved, and risks identified for the following week's work in China Shanghai.
• A full vehicle dynamics validation summary including handling, braking, and ride-comfort test data collected at the Buyer's proving ground facility in Jiading District, China Shanghai.
• A regulatory compliance matrix mapping all design parameters against applicable Chinese national standards (GB) and industry standards (QC) relevant to new energy vehicles manufactured in China Shanghai.
• A final project closure report with recommendations for the production readiness phase, to be submitted within ten (10) business days of the final on-site workday.

• Commencement Date: 01 July 2025. All services shall be rendered in China Shanghai unless otherwise agreed in writing by both parties.
• Completion Date: 31 October 2025, subject to mutual written agreement for extension.
• Payment Terms: 30% advance payment upon acceptance of this Purchase Order; 40% upon delivery of the mid-project validation report; 30% upon final acceptance of all deliverables. • Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date.
• Insurance: The Seller shall maintain professional liability insurance with a minimum coverage of CNY 5,000,000 for the duration of the engagement in China Shanghai.
