1. This Purchase Order constitutes a binding agreement between the Buyer and the Vendor for the provision of Automotive Engineer services as described herein. All work shall be performed at the Buyer's facility in Colombia Bogotá, unless otherwise agreed in writing.
2. The Automotive Engineer personnel assigned to this contract must hold a minimum of a Bachelor's degree in Automotive Engineering, Mechanical Engineering, or a related discipline, with a minimum of eight (8) years of progressive experience in vehicle development. The lead Automotive Engineer must possess SAE membership and relevant certifications recognized in Colombia Bogotá.
3. Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices must reference this Purchase Order number (PO-2025-BA-0472) and be submitted in Colombian Pesos (COP) to the Buyer's accounts payable department in Colombia Bogotá.
4. The Vendor shall ensure that all Automotive Engineer personnel comply with Colombian labor laws, including but not limited to the Código Sustantivo del Trabajo, and maintain all required social security registrations (Salud, Pensión, ARL) as mandated for workers operating in Colombia Bogotá.
5. All intellectual property, design documents, test data, and proprietary information generated by the Automotive Engineer team in the course of this engagement shall be the exclusive property of the Buyer. The Vendor agrees to execute a Non-Disclosure Agreement (NDA) prior to commencement of work.
6. The contract period for this Purchase Order is twelve (12) months, commencing July 1, 2025, and concluding June 30, 2026, unless terminated earlier by mutual written consent or for cause as defined herein.
7. Any modifications, scope changes, or extensions to this Purchase Order must be documented in a formal Change Order signed by authorized representatives of both parties. No additional Automotive Engineer services shall be rendered without prior written authorization.
8. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should resolution not be achieved within thirty (30) days, the matter shall be submitted to arbitration in Colombia Bogotá in accordance with the rules of the Cámara de Comercio de Bogotá.
9. The Vendor shall provide weekly progress reports detailing the activities performed by each Automotive Engineer, deliverables completed, and any risks or impediments encountered. Reports shall be submitted every Friday by 17:00 hours (Colombia time, UTC-5).
10. This Purchase Order is governed by the commercial laws of the Republic of Colombia. All notices, communications, and legal proceedings related to this document shall be directed to the addresses specified in Colombia Bogotá as listed above.
