- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Commercial Code of Colombia and applicable regulations of the city of Medellín, Antioquia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Colombia Medellín under the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Medellín.
- Professional Qualifications: The Automotive Engineer assigned under this Purchase Order must hold a minimum of a Master's degree in Automotive Engineering, Mechanical Engineering, or a closely related discipline from an accredited Colombian or international university. The Automotive Engineer must possess a valid professional license (Registro Calificado) issued by the corresponding professional association in Colombia and a minimum of eight (8) years of progressive experience in powertrain or chassis engineering.
- Work Location: All on-site work related to this Purchase Order shall be performed at the buyer's facility in Colombia Medellín or at approved subcontractor sites within the Antioquia department. Remote work is permitted for up to twenty (20) percent of total hours, provided the Automotive Engineer maintains a physical presence in the Medellín metropolitan area for at least three (3) days per week.
- Payment Schedule: Payment shall be made in four (4) equal quarterly installments via bank transfer to the supplier's account in Colombia. The first installment is due within fifteen (15) business days of the commencement date. Late payments shall accrue interest at the maximum rate permitted by Colombian law (Ley 1475 de 2011).
- Intellectual Property: All designs, prototypes, simulations, and documentation produced by the Automotive Engineer under this Purchase Order shall be the exclusive property of Andina Automotive Solutions S.A.S. upon full payment. The Automotive Engineer and the supplier shall execute a non-disclosure agreement (NDA) prior to commencing work in Colombia Medellín.
- Compliance and Safety: The supplier shall ensure that the Automotive Engineer and all personnel comply with Colombian labor law (Código Sustantivo del Trabajo, Decreto 2351 de 1965), occupational health and safety regulations (Resolución 0312 de 2019), and all environmental standards applicable in the Medellín industrial zone.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the buyer shall compensate the supplier for all work completed and materials procured up to the termination date. Termination for cause (material breach, failure to meet engineering milestones) requires a fifteen (15) day cure period.
- Warranty: The supplier warrants that all engineering deliverables under this Purchase Order shall be free from defects in design and shall meet the specifications outlined in Annex A (attached separately). The warranty period is twelve (12) months from the date of final acceptance in Colombia Medellín.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in the Medellín region, or supply chain disruptions affecting the automotive industry in Colombia.
