1. Scope of Purchase — Automotive Engineer ServicesThis Purchase Order is issued by Rhone-Alpes Automotive Solutions SAS for the engagement of a qualified Automotive Engineer to provide specialized technical consulting, design validation, and project management services. The Automotive Engineer shall be deployed to the buyer’s primary manufacturing and R&D facility located in the France Lyon metropolitan area, specifically at the site on Quai de Serbie, 69009 Lyon. The scope of work encompasses the full lifecycle support of next-generation electric powertrain development, including but not limited to: thermal management system design, battery integration engineering, chassis dynamics simulation, and compliance testing aligned with European Union automotive regulations (ECE R100, R136, and R155).

The Automotive Engineer shall commence duties no later than 1 September 2025 at the buyer’s facility in France Lyon. All onboarding, site safety induction, and access credential provisioning shall be completed within the first five (5) business days of commencement. The supplier guarantees that the Automotive Engineer assigned under this Purchase Order holds a minimum of eight (8) years of progressive experience in automotive powertrain engineering, a recognized engineering degree (Diplôme d’Ingénieur or equivalent), and demonstrated proficiency in ISO 26262 (functional safety) and ASPICE processes. The Automotive Engineer’s primary work location shall be the France Lyon campus, with the option of up to two (2) days per week of remote work, subject to the buyer’s prior written approval.
4. Terms and Conditions4.1 This Purchase Order is governed by the laws of the French Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be submitted to the competent courts of Lyon, France.
4.2 The Automotive Engineer shall be bound by a strict non-disclosure agreement (NDA) covering all proprietary designs, manufacturing processes, and client data encountered during the engagement in France Lyon. Breach of confidentiality shall result in immediate termination and financial penalties as stipulated in the master service agreement.
4.3 The supplier shall maintain full professional indemnity and liability insurance coverage of no less than EUR 5,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the buyer prior to the Automotive Engineer’s first day on site.
4.4 Invoicing shall be performed monthly in arrears. Each invoice must reference this Purchase Order number (PO-FR-LY-2025-04872) and the specific line items rendered. Payment shall be made via SEPA bank transfer to the supplier’s designated account within thirty (30) calendar days of receipt of a valid invoice.
4.5 The buyer reserves the right to audit the Automotive Engineer’s deliverables, progress reports, and time-tracking records at any reasonable time during the contract period. All audit findings shall be documented and shared within ten (10) business days.
4.6 Early termination by either party requires a minimum of sixty (60) days’ written notice. In the event of early termination, the supplier shall be compensated for all services rendered up to the effective date of termination, plus a transition support fee of 5% of the remaining contract value.
4.7 The Automotive Engineer shall comply with all applicable French labor regulations, including working hour limits (35 hours per week standard), mandatory leave entitlements, and occupational health and safety requirements as enforced by the Direction Régionale de l’Emploi, du Travail et des Affaires Sociales (DREETS) for the Auvergne-Rhône-Alpes region.
5. Acceptance and AuthorizationBy signing below, both parties acknowledge and accept all terms, conditions, and specifications outlined in this Purchase Order. The Automotive Engineer engagement described herein is authorized for execution at the France Lyon facility, and all financial obligations are confirmed as stated in the line-item breakdown above.
