This Purchase Order is issued by Provençal Automotive Solutions SAS to formally engage the services of a qualified Automotive Engineer to be deployed at our primary research and development facility located in France Marseille. The Automotive Engineer shall provide specialized technical expertise in vehicle powertrain design, advanced driver-assistance systems (ADAS) integration, and electric vehicle (EV) platform development. All deliverables and on-site work associated with this Purchase Order shall be executed within the France Marseille metropolitan area, specifically at the Zone Industrielle du Littoral campus.

1. Scope and Location: All services rendered under this Purchase Order shall be performed exclusively at the Provençal Automotive Solutions facility in France Marseille (13008). The Automotive Engineer is required to be physically present on-site for a minimum of 35 hours per week. Remote work is not authorized under this engagement unless explicitly approved in writing by the Chief Engineering Officer.
2. Payment Terms: Payment shall be made in six (6) equal monthly installments of 24,840.00 EUR (TTC), due on the last business day of each calendar month. Invoices shall be submitted to the procurement department at Provençal Automotive Solutions, France Marseille, no later than the 25th of the preceding month. Payment shall be processed via SEPA bank transfer within thirty (30) days of invoice receipt.
3. Intellectual Property: All designs, prototypes, software code, simulation data, and technical documentation produced by the Automotive Engineer during the term of this Purchase Order shall be the exclusive property of Provençal Automotive Solutions SAS. The Automotive Engineer and TechnoDrive Engineering Consultants hereby assign all intellectual property rights arising from work performed at the France Marseille facility to the Purchasing Entity.
4. Confidentiality: The Automotive Engineer shall be bound by a strict non-disclosure agreement (NDA) covering all proprietary information, trade secrets, and engineering data encountered during the engagement in France Marseille. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Purchasing Entity shall be liable for all services rendered up to the effective date of termination, plus a termination fee equal to 10% of the remaining contract value.
6. Applicable Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this engagement shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France Marseille, Bouches-du-Rhône.
7. Health, Safety, and Compliance: The Automotive Engineer shall comply with all French occupational health and safety regulations (Code du Travail), as well as site-specific safety protocols at the France Marseille facility. A valid professional liability insurance certificate shall be provided prior to commencement of work.
