1. Scope and Obligations. This Purchase Order constitutes a binding agreement for the provision of specialized Automotive Engineer services to the Buyer. The Supplier warrants that each Automotive Engineer assigned under this Purchase Order holds a minimum of a Master's degree (Diplôme d'Ingénieur) in automotive or mechanical engineering from a recognized French or European institution, and possesses a minimum of eight (8) years of progressive experience in the automotive sector. All Automotive Engineer personnel shall be based and perform their duties within the France Paris metropolitan area, specifically at the Buyer's premises located at 12-14 Quai de Grenelle, 75015 Paris.
2. Intellectual Property. All work product, designs, prototypes, software code, and technical documentation created by the Automotive Engineer team in the course of performing services under this Purchase Order shall be the exclusive property of the Buyer. The Supplier and its Automotive Engineer personnel hereby assign all intellectual property rights arising from the engagement to Renault Group S.A. This assignment is governed by Articles L.611-1 et seq. of the French Intellectual Property Code (Code de la propriété intellectuelle).
3. Confidentiality. The Supplier and all Automotive Engineer personnel shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed by the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. Breach of confidentiality shall entitle the Buyer to seek injunctive relief and damages under French law.
4. Compliance with French and EU Law. The Supplier shall ensure that all Automotive Engineer personnel comply with applicable French labor regulations, including the Code du travail, and all relevant European Union directives pertaining to automotive engineering, workplace safety, and data protection (GDPR). The Supplier shall maintain all necessary professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of 1,000,000 EUR per occurrence.
5. Performance and Acceptance. Deliverables produced by the Automotive Engineer team shall be subject to acceptance by the Buyer's Technical Validation Committee in France Paris. The Buyer shall have fifteen (15) business days from receipt of any deliverable to issue a written acceptance or a detailed notice of non-conformity. Failure to respond within this period shall constitute deemed acceptance.
6. Payment. Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of the invoice date via SEPA credit transfer to the bank account designated by the Supplier. Late payments shall accrue interest at the rate prescribed by Article L.441-10 of the French Commercial Code (Code de commerce).
7. Termination. Either party may terminate this Purchase Order by providing sixty (60) days' written notice. The Buyer may terminate immediately for cause in the event of material breach, insolvency of the Supplier, or failure of the Automotive Engineer personnel to meet the performance standards defined herein. Upon termination, the Supplier shall deliver all work-in-progress and return all Buyer property within ten (10) business days.
8. Dispute Resolution. Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of Paris, France. The parties irrevocably submit to the exclusive jurisdiction of the Tribunal de Commerce de Paris. The language of this Purchase Order and all related correspondence shall be English, with French translations available upon request for regulatory filing purposes in France Paris.
9. Force Majeure. Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government sanctions, or strikes affecting the France Paris region, provided that the affected party notifies the other within five (5) business days.
