This Purchase Order is issued by Meridian Automotive Solutions GmbH for the procurement of specialized Automotive Engineer services to be performed at our primary development facility located in Germany Berlin. The engagement covers the full lifecycle of vehicle powertrain calibration, chassis dynamics analysis, and advanced driver-assistance systems (ADAS) integration for our next-generation electric and hybrid vehicle platform. The Automotive Engineer shall be embedded within our Berlin-based R&D team for a minimum contract duration of twelve (12) months, with the option to extend by an additional six (6) months subject to mutual agreement.

4. Delivery and Performance Location

All Automotive Engineer personnel procured under this Purchase Order shall report to and perform their duties at the Meridian Automotive Solutions GmbH development center, situated at Industriestraße 42, 10115 Berlin, Germany. The Automotive Engineer team shall be available on-site in Germany Berlin Monday through Friday, 08:00 to 17:00 CET, with the possibility of extended hours during critical prototype validation phases. All deliverables, technical documentation, and progress reports shall be submitted in English and German in accordance with local regulatory requirements applicable in Germany Berlin.

5. Payment Terms

• Payment shall be made via SEPA bank transfer to the account specified in Section 1.
• Invoices are due within thirty (30) calendar days from the date of receipt of a valid invoice.
• A 2% early-payment discount applies if settlement is completed within ten (10) days of invoice date.
• Monthly interim invoices shall be submitted by the 5th business day of the following month.
• All payments are subject to the terms outlined in this Purchase Order and the master service agreement dated 01 March 2025.

6. Terms and Conditions

• This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes shall be resolved by the competent courts in Germany Berlin.
• The Automotive Engineer personnel must hold valid work permits or EU work authorization and comply with all German labor regulations, including the Arbeitszeitgesetz (Working Hours Act) and the Berufsgenossenschaft (occupational safety) requirements.
• Confidentiality and intellectual property rights: All work product, designs, calibration data, and proprietary methodologies developed by the Automotive Engineer team in the course of this engagement shall remain the exclusive property of Meridian Automotive Solutions GmbH.
• The vendor shall maintain professional liability insurance with a minimum coverage of EUR 5,000,000 per occurrence, valid throughout the contract term in Germany Berlin.
• Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In cases of material breach, termination may be effected with fourteen (14) days notice.
• Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated shutdowns affecting operations in Germany Berlin, shall suspend obligations without penalty for a period not exceeding ninety (90) days.
• The Automotive Engineer candidates must pass a background check and reference verification prior to commencing work at the Berlin facility.

7. Acceptance and Authorization

This Purchase Order becomes effective upon written acceptance by the vendor. The vendor's acceptance constitutes full agreement to all terms, conditions, pricing, and scope of work described herein. No modifications to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both parties.
