1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All terms are governed by the laws of the Federal Republic of Germany, with jurisdiction vested in the courts of Germany Frankfurt am Main.
2. The Automotive Engineer shall commence duties no later than 01 September 2025 at the Buyer's facility in Germany Frankfurt. Failure to commence within five (5) business days of the required start date shall entitle the Buyer to terminate this Purchase Order without penalty.
3. Payment shall be made in monthly installments of €18,479.71 (inclusive of VAT) via SEPA bank transfer to the Seller's designated account, due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the statutory rate under §288 of the German Civil Code (BGB).
4. The Seller warrants that the Automotive Engineer assigned under this Purchase Order shall meet all qualifications, certifications, and experience requirements specified in Section 3. The Buyer reserves the right to request a replacement within ten (10) business days if the assigned engineer fails to meet performance benchmarks.
5. All intellectual property, designs, simulations, and technical documentation produced by the Automotive Engineer during the course of this engagement at the Germany Frankfurt facility shall be the sole property of the Buyer. The Seller and the engineer shall sign a non-disclosure agreement (NDA) prior to commencement.
6. The Seller is responsible for all statutory social security contributions, income tax withholding, and occupational health and safety compliance in accordance with German labor law (Arbeitsrecht) for the duration of the Automotive Engineer's assignment in Germany Frankfurt.
7. Either party may terminate this Purchase Order with a written notice period of sixty (60) calendar days. In the event of early termination, the Buyer shall pay for all services rendered up to the effective date of termination, plus a termination fee of 10% of the remaining contract value.
8. Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated shutdowns affecting operations in Germany Frankfurt, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within forty-eight (48) hours.
9. All disputes arising from this Purchase Order shall first be subject to mediation. If mediation fails within thirty (30) days, the matter shall be referred to the competent commercial court in Germany Frankfurt am Main.
