The Automotive Engineer(s) procured under this Purchase Order shall perform the following duties at the Germany Munich headquarters and associated testing facilities:
- Design, simulation, and validation of electric and hybrid powertrain architectures in compliance with EU and German automotive regulations.
- Development and optimization of chassis control systems, suspension dynamics, and vehicle stability programs.
- Integration and testing of embedded software systems for advanced driver-assistance systems (ADAS) and autonomous driving modules.
- Participation in cross-functional project teams within the Germany Munich engineering campus, collaborating with suppliers, OEM partners, and regulatory bodies.
- Preparation of technical documentation, test reports, and compliance filings required under German and European automotive industry standards.
- Mentorship and technical leadership of junior engineering staff within the Munich facility.
The Automotive Engineer positions referenced in this Purchase Order shall be filled and the personnel shall commence active duty no later than 1 September 2025 at the Bavaria Automotive Systems GmbH facility in Germany Munich. The supplier, Alpine Engineering Talent Solutions AG, is responsible for completing all recruitment, background verification, and contractual onboarding procedures in accordance with German labor law (BGB, AEntG) and the specific employment regulations applicable in the Munich region. A minimum of 14 calendar days' written notice is required for any modification to the commencement date stipulated in this Purchase Order.
Payment for the services and items outlined in this Purchase Order shall be made as follows:
- 30% advance payment upon written acceptance of this Purchase Order by both parties.
- 40% upon confirmed commencement of the Automotive Engineer(s) at the Germany Munich facility (1 September 2025).
- 30% upon successful completion of the 12-month engagement period and final acceptance of all deliverables.
All payments shall be made via SEPA bank transfer to the account designated by Alpine Engineering Talent Solutions AG. Invoices must reference Purchase Order number PO-2025-AM-0472. Payment terms are net 30 days from the date of invoice receipt. Late payments shall incur interest at the statutory rate under German commercial law (Handelsgesetzbuch, §288 HGB).
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- The Automotive Engineer(s) engaged under this Purchase Order shall be bound by strict confidentiality and non-disclosure agreements in accordance with German trade secret protection law (GeschGehG). All proprietary data, design specifications, and project documentation developed during the engagement remain the exclusive property of Bavaria Automotive Systems GmbH.
- The supplier warrants that all Automotive Engineers provided shall hold the requisite academic qualifications (minimum: Master's degree in Mechanical Engineering, Automotive Engineering, or a closely related discipline) and possess a minimum of five (5) years of relevant industry experience for senior positions, three (3) years for mid-level, and one (1) year for junior positions.
- Compliance with all applicable German and European regulations, including but not limited to the EU General Data Protection Regulation (GDPR/DSGVO), German Works Constitution Act (BetrVG), and occupational health and safety standards, is mandatory throughout the engagement period.
- Either party may terminate this Purchase Order with 90 days' written notice. In the event of early termination, a pro-rata refund of unused fees shall be issued within 30 days of the termination effective date.
- Force majeure events, as defined under German civil law, shall excuse delayed performance of obligations under this Purchase Order, provided that the affected party notifies the other in writing within 5 business days.
- All modifications, amendments, or supplements to this Purchase Order must be made in writing and signed by authorized representatives of both parties to be valid.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Automotive Engineer services in Germany Munich. This document constitutes a binding commercial agreement effective upon the last signature.
