The services described herein are to be performed exclusively at the Buyer's operational facility located in India Bangalore, Karnataka, and shall commence on 1 August 2025 and continue for a period of twelve (12) months, subject to renewal as per the terms outlined in this document.
The Automotive Engineer engaged under this Purchase Order shall be responsible for the design, development, testing, and validation of next-generation powertrain systems, advanced driver-assistance systems (ADAS), and vehicle integration platforms. The engineer shall possess a minimum of eight (8) years of progressive experience in the automotive sector, with demonstrated expertise in hybrid and electric vehicle architectures, embedded systems programming, and compliance with Bharat Stage VI emission standards applicable in India Bangalore and across the Indian automotive manufacturing ecosystem.

All services under this Purchase Order shall be executed at the Buyer's primary engineering and R&D center situated at 42, Whitefield IT Corridor, Whitefield, India Bangalore, Karnataka 560066. The Automotive Engineer shall report to the designated site on all working days (Monday through Saturday, 9:00 AM to 6:00 PM IST) and shall have access to all laboratory equipment, simulation software, and vehicle test tracks available at the India Bangalore facility. Any off-site travel required for supplier audits, component sourcing, or client presentations within the India Bangalore metropolitan area or its surrounding industrial corridors (Peenya, Hosur, Sriperumbudur) shall be pre-approved in writing by the Buyer's Project Director.
4. Terms and Conditions- Payment Terms: Payment shall be made on a monthly basis within fifteen (15) calendar days of receipt of a valid tax invoice from the Supplier. The first payment shall be due upon successful onboarding and commencement of the Automotive Engineer's duties in India Bangalore. All payments shall be processed via NEFT/RTGS to the Supplier's designated bank account.
- Confidentiality & IP: The Automotive Engineer shall be bound by a Non-Disclosure Agreement (NDA) and Intellectual Property Assignment Agreement prior to commencing work. All designs, prototypes, code, and documentation produced during the tenure of this Purchase Order shall remain the exclusive property of the Buyer.
- Compliance: The Supplier shall ensure that the Automotive Engineer complies with all applicable Indian labor laws, Karnataka state employment regulations, and the specific automotive industry standards (AIS-004, AIS-038, etc.) enforced in India Bangalore. Statutory deductions including PF, ESI, and professional tax shall be handled by the Supplier as the employer of record.
- Performance KPIs: The Automotive Engineer shall be evaluated quarterly against predefined Key Performance Indicators including project milestone delivery, defect rate in design outputs, and adherence to the APQP (Advanced Product Quality Planning) timeline. Failure to meet KPIs for two consecutive quarters shall entitle the Buyer to terminate this Purchase Order with thirty (30) days' written notice.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of termination, the Supplier shall ensure a smooth knowledge transfer of all ongoing Automotive Engineer deliverables to the Buyer's internal team at the India Bangalore site within fifteen (15) days of the termination effective date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration being India Bangalore, Karnataka. The language of arbitration shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, with specific reference to the Indian Contract Act, 1872, and the Karnataka Shops and Commercial Establishments Act, 1961.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of an Automotive Engineer at the India Bangalore facility. This document constitutes a binding commercial agreement between the Buyer and the Supplier effective from the date of the last signature.
