This Purchase Order is issued by Persia Automotive Industries Co., Ltd. to formally engage the services of a qualified Automotive Engineer to be deployed at the manufacturing and R&D facilities located in Iran Tehran. 1. Place of Performance: All services under this Purchase Order shall be performed at the Purchaser's facility located in Industrial Zone 4, Iran Tehran. The Automotive Engineer personnel shall report to the designated site no later than 08:00 AM local time on the agreed start date.
2. Duration: The engagement of the Automotive Engineer team shall commence on 01 August 2025 and continue for a period of twelve (12) months, subject to renewal by mutual written agreement.
3. Payment Schedule: Payment shall be made in three equal installments: 40% upon execution of this Purchase Order, 30% upon completion of the six-month milestone, and 30% upon final project delivery and acceptance in Iran Tehran.
4. Compliance: The Automotive Engineer shall ensure all design outputs, test protocols, and documentation comply with the Iranian Standards and Research Organization (ISIRI) regulations applicable in Iran Tehran and the broader Iranian automotive regulatory environment.
5. Confidentiality: All technical data, proprietary designs, and engineering specifications shared under this Purchase Order shall remain the exclusive property of the Purchaser. The Automotive Engineer and associated personnel shall sign non-disclosure agreements prior to commencing work in Iran Tehran.
6. Visa and Work Permits: The Supplier shall be responsible for obtaining all necessary work permits, residency visas, and professional registrations required for the Automotive Engineer to legally perform services within Iran Tehran and the Islamic Republic of Iran.
7. Quality Assurance: The Automotive Engineer shall adhere to ISO 9001:2015 quality management standards and IATF 16949 automotive quality requirements. All deliverables shall be subject to inspection and acceptance by the Purchaser's quality assurance team in Iran Tehran.
8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall complete all in-progress Automotive Engineer deliverables and submit a final report to the Purchaser in Iran Tehran.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Islamic Republic of Iran. Any disputes shall be resolved through arbitration in Iran Tehran under the rules of the Iran Chamber of Commerce.
10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting Iran Tehran, or national emergencies.
