3. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, specifically the Iraqi Commercial Code and applicable regulations of the Baghdad Municipality regarding industrial and professional services.
  2. Place of Performance: All services under this Purchase Order shall be performed at the Buyer's facility located in the Industrial Zone, Al-Mansour District, Baghdad, Iraq. The Automotive Engineer is expected to be physically present at the Iraq Baghdad site no fewer than five (5) working days per week during the contracted period.
  3. Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice from the Supplier. All payments shall be processed in United States Dollars (USD) via wire transfer to the Supplier's designated bank account in Baghdad, Iraq. Late payments shall incur a penalty of 1.5% per month.
  4. Qualifications: The Automotive Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Automotive Engineering or Mechanical Engineering from an accredited institution, possess a minimum of ten (10) years of progressive experience in automotive design and manufacturing, and hold valid professional licensure recognized by the Iraqi Engineers Syndicate in Baghdad.
  5. Intellectual Property: All designs, specifications, technical drawings, and proprietary knowledge developed by the Automotive Engineer in the course of fulfilling this Purchase Order shall remain the exclusive property of the Buyer. The Supplier shall execute a non-disclosure agreement prior to commencing work in Iraq Baghdad.
  6. Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of $500,000 USD, valid throughout the duration of this Purchase Order. The Supplier shall indemnify the Buyer against any claims arising from negligence or professional misconduct by the Automotive Engineer.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Buyer shall pay for all services rendered up to the date of termination.
  8. Compliance with Iraqi Regulations: The Automotive Engineer shall comply with all applicable Iraqi federal and Baghdad municipal regulations, including but not limited to labor laws, environmental standards for industrial operations, and safety protocols mandated by the Iraqi Ministry of Industry and Mineral Resources.
  9. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Iraqi Arbitration Center in Baghdad, Iraq. The language of arbitration shall be English.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of war, civil unrest, government sanctions, natural disasters, or pandemics affecting operations in Iraq Baghdad.
4. DELIVERY AND COMMENCEMENT

The Automotive Engineer shall commence services on or before 1 July 2025 at the designated facility in Iraq Baghdad. The Supplier shall provide the Buyer with a detailed project timeline, resource allocation plan, and weekly progress reports throughout the engagement period. All technical deliverables, including engineering drawings, test reports, and compliance documentation, shall be submitted in both English and Arabic to satisfy Iraqi regulatory requirements.
