5.1 This Purchase Order constitutes a binding agreement between Levant Automotive Technologies Ltd. and Meridian Engineering Solutions (Israel) Ltd. for the provision of Automotive Engineer professional services in Israel Jerusalem. All work shall be performed in accordance with the specifications, timelines, and quality standards defined in the attached Statement of Work (SOW-2025-04782-A).
5.2 The Automotive Engineer personnel assigned under this Purchase Order shall possess a minimum of a Bachelor's degree in Mechanical, Electrical, or Automotive Engineering from an accredited institution, with a minimum of eight (8) years of progressive experience in the automotive sector. All candidates must hold valid Israeli work permits and comply with the regulations of the Israeli Ministry of Labor and Social Welfare.
5.3 All deliverables, including engineering drawings, simulation reports, test data, and design documentation produced by the Automotive Engineer team, shall be the exclusive intellectual property of Levant Automotive Technologies Ltd. upon full payment. The vendor warrants that no third-party intellectual property rights shall be infringed by the work performed in Israel Jerusalem.
5.4 Payment shall be made in New Israeli Shekels (ILS) via bank transfer to the vendor's designated account. Invoices shall be submitted monthly, and payment is due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate prescribed by the Israeli Late Payment Law (5761-2001).
5.5 The vendor shall maintain comprehensive professional liability insurance with a minimum coverage of ILS 5,000,000, valid throughout the term of this Purchase Order and specifically covering operations conducted in Israel Jerusalem.
5.6 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the vendor shall be compensated for all Automotive Engineer services rendered and approved deliverables completed up to the effective date of termination.
5.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Israel Jerusalem.
5.8 Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, proprietary designs, and business information exchanged in connection with this Purchase Order. The Automotive Engineer personnel shall sign individual non-disclosure agreements prior to commencing work in Israel Jerusalem.
