The Automotive Engineer or team of Automotive Engineer professionals engaged under this Purchase Order shall perform the following duties at the Italy Milan facility:
- Lead the redesign of the 800V high-voltage powertrain architecture to meet the 2026 EU emission and efficiency standards, with all design reviews conducted at the Italy Milan engineering center.
- Oversee the integration and validation of the new lithium-iron-phosphate (LFP) battery management system, ensuring full compliance with Italian and European automotive safety regulations applicable in Italy Milan.
- Conduct chassis dynamics simulation and NVH (Noise, Vibration, and Harshness) testing using the Buyer's dedicated test track and laboratory facilities in the Lombardy region of Italy Milan.
- Prepare and submit all technical documentation required for EU Type Approval, in coordination with the local regulatory authorities in Italy Milan.
- Provide weekly progress reports to the Buyer's Project Steering Committee, with all meetings held at the Italy Milan headquarters.
- Acceptance: This Purchase Order shall become binding upon written acceptance by the Seller. The Seller must confirm acceptance in writing within ten (10) business days of the date of issue.
- Commencement: The Automotive Engineer engagement shall commence on 1 September 2025 at the Italy Milan facility and shall continue for a period of six (6) months, extendable by mutual written agreement.
- Payment: Payment shall be made in EUR via bank transfer to the account specified by the Seller within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-ITM-2025-04872) and the applicable Italian VAT registration details.
- Location of Work: All services under this Purchase Order shall be performed at the Buyer's premises in Italy Milan, unless otherwise agreed in writing. The Automotive Engineer shall comply with all site safety protocols and Italian labor regulations applicable in Italy Milan.
- Intellectual Property: All designs, prototypes, data, and documentation produced by the Automotive Engineer in the course of this engagement shall be the exclusive property of the Buyer. The Seller warrants that no third-party IP rights shall be infringed.
- Confidentiality: The Seller and the Automotive Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data accessed during the engagement at the Italy Milan facility. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Seller shall be compensated for all services rendered up to the effective date of termination, including the Automotive Engineer's time and associated expenses in Italy Milan.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Italy Milan.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Italy Milan.
