This Purchase Order is issued by Kyoto Advanced Mobility Solutions K.K. to formally engage the services of a qualified Automotive Engineer for the duration of the project described herein. All deliverables, documentation, and on-site work associated with this Purchase Order shall be conducted in accordance with Japanese industrial standards (JIS) and the specific technical specifications outlined in Annex A of this document.

  1. Acceptance: This Purchase Order becomes binding upon written acceptance by the vendor within ten (10) business days of the date of issue. The vendor shall confirm acceptance in writing referencing Purchase Order No. PO-JK-2025-04872.
  2. Commencement: The Automotive Engineer engagement shall commence on 1 July 2025 at the Japan Kyoto facility (Building C, Nakagyo-ku). The vendor shall ensure that all assigned Automotive Engineer personnel have completed site safety induction and security clearance prior to the first day of work.
  3. Payment Terms: Payment shall be made in three (3) equal installments: 40% upon commencement, 35% upon completion of the mid-project milestone review (end of Month 3), and 25% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the account specified by the vendor. Invoices must reference this Purchase Order number.
  4. Performance Standards: The Automotive Engineer shall adhere to all applicable Japanese automotive industry regulations, including but not limited to JIS D 0201, JIS D 0203, and the Road Vehicle Inspection Act as administered in Japan Kyoto. Failure to meet performance benchmarks outlined in the Statement of Work shall entitle the issuing entity to withhold the corresponding installment.
  5. Confidentiality: All technical data, proprietary designs, and manufacturing processes encountered by the Automotive Engineer during the course of this Purchase Order at the Japan Kyoto facility are classified as confidential. A mutual Non-Disclosure Agreement (NDA) is attached as Annex B and remains in effect for three (3) years beyond project completion.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all services rendered up to the termination date, and the Automotive Engineer shall deliver all work-in-progress documentation to the Japan Kyoto project manager.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Kyoto under the rules of the Japan Commercial Arbitration Association.
  8. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, or other events beyond reasonable control, particularly those affecting operations in the Japan Kyoto region.

All deliverables under this Purchase Order shall be submitted to the Japan Kyoto project office no later than the dates specified in the project timeline (Annex A). The Automotive Engineer shall prepare a final acceptance report summarizing all completed tasks, outstanding items, and recommendations for subsequent production phases. Acceptance shall be confirmed in writing by the Japan Kyoto Plant Director within fifteen (15) business days of final submission. The vendor shall not consider this Purchase Order fulfilled until written acceptance is received.
