4.1 Place of Performance: All services rendered under this Purchase Order shall be carried out exclusively within the boundaries of Japan Osaka. The primary work location is the Buyer's engineering campus at 3-12-45 Umeda, Kita-ku, Osaka. The Automotive Engineer(s) shall not be redeployed to any other city or prefecture without prior written amendment to this Purchase Order.

4.2 Qualification Requirements: Each Automotive Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Mechanical Engineering, Electrical Engineering, or a directly related discipline from an accredited institution. A minimum of five (5) years of progressive experience in automotive powertrain, chassis, or embedded systems engineering is mandatory. For the Japan Osaka engagement, proficiency in Japanese (JLPT N2 or above) is required for all Automotive Engineer personnel to ensure seamless collaboration with local regulatory bodies and the Osaka Metropolitan Government's industrial liaison office.

4.3 Payment Terms: Payment shall be made on a monthly basis within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (PO-JOS-2025-04872) and shall be submitted to the Buyer's Accounts Payable department in Osaka. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Japanese commercial law.

4.4 Intellectual Property: All designs, prototypes, code, analyses, and documentation produced by the Automotive Engineer(s) during the term of this Purchase Order shall be the sole and exclusive property of the Buyer. The Supplier warrants that no third-party intellectual property rights shall be infringed by the work performed in Japan Osaka.

4.5 Confidentiality: The Automotive Engineer(s) shall be bound by a Non-Disclosure Agreement (NDA) in accordance with the Act on the Protection of Trade Secrets (Japan, 2003). All technical data related to the Buyer's EV platform shall be classified as "Confidential – Japan Osaka Programme" and shall not be disclosed to any external party.

4.6 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Supplier shall ensure an orderly transition of all Automotive Engineer responsibilities and deliver all work-in-progress documentation to the Buyer within fourteen (14) days of the effective termination date.

4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Osaka District Court.

The Automotive Engineer team shall commence on-site work at the Japan Osaka facility no later than 1 July 2025. The Supplier is responsible for arranging all necessary work visas, residence registrations, and local government notifications required for foreign-national Automotive Engineer personnel operating in Japan Osaka. The Buyer shall provide all necessary onboarding, site access credentials, and safety orientation training within the first five (5) business days of commencement.
