All services under this Purchase Order shall be performed exclusively within the metropolitan area of Japan Tokyo, specifically at the buyer's principal engineering facility located in Shibuya-ku, Tokyo. The Automotive Engineer shall possess a minimum of eight (8) years of professional experience in automotive powertrain engineering, with demonstrated expertise in battery management systems, electric motor design, and thermal management for high-performance EV platforms. The Automotive Engineer must hold a valid Japanese work permit and be fluent in both Japanese and English to facilitate seamless collaboration with the multidisciplinary team based in Japan Tokyo.

5.1 Scope of Work: The Automotive Engineer or engineers engaged under this Purchase Order shall report directly to the Chief Engineering Officer at the Tokyo Advanced Mobility Solutions K.K. facility in Shibuya-ku, Japan Tokyo. All engineering deliverables, including design documentation, simulation reports, prototype validation data, and regulatory compliance filings, shall be completed in accordance with Japanese Automotive Standards (JASO) and applicable Ministry of Land, Infrastructure, Transport and Tourism (MLIT) regulations.
5.2 Commencement and Duration: Services shall commence on 1 September 2025 and continue for a period of twelve (12) months, subject to mutual renewal. The Automotive Engineer shall be available on-site at the Japan Tokyo facility a minimum of five (5) days per week, Monday through Friday, between the hours of 09:00 and 18:00 Japan Standard Time (JST).
5.3 Payment Terms: Payment shall be made in quarterly installments via bank transfer to the supplier's designated account in Japan Tokyo. The first installment of JPY 17,063,750 (inclusive of tax) shall be due within thirty (30) days of the commencement date. Subsequent quarterly payments shall be due on the 1st of January, April, July, and October. Late payments shall incur a penalty of 1.5% per month as stipulated under Japanese commercial law.
5.4 Intellectual Property: All work product, designs, patents, trade secrets, and proprietary knowledge generated by the Automotive Engineer during the term of this Purchase Order shall be the exclusive property of Tokyo Advanced Mobility Solutions K.K. The Automotive Engineer shall execute a comprehensive non-disclosure and intellectual property assignment agreement prior to commencing duties in Japan Tokyo.
5.5 Compliance and Safety: The supplier shall ensure that the Automotive Engineer complies with all applicable Japanese labor laws, occupational safety regulations, and industry-specific standards. The Automotive Engineer shall undergo mandatory safety training specific to the Japan Tokyo engineering facility within the first two weeks of employment.
5.6 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the supplier shall ensure an orderly transition of all ongoing Automotive Engineer projects and deliverables to the buyer's internal team in Japan Tokyo.
5.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising hereunder shall be resolved through arbitration in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
