• The Automotive Engineer team shall commence work no later than 1 August 2025 at the purchaser's facility in Kazakhstan Almaty.
• All engineering deliverables, including design documentation, test reports, and prototype specifications, shall be submitted to the purchaser's project management office in Kazakhstan Almaty on a bi-weekly basis.
• The Automotive Engineer personnel shall work a standard schedule of 40 hours per week, Monday through Friday, in accordance with the Labor Code of the Republic of Kazakhstan.
• Any extension of the Automotive Engineer engagement beyond the initial twelve-month period shall require a written amendment to this Purchase Order signed by both parties.
• The supplier guarantees that each Automotive Engineer assigned under this Purchase Order holds a minimum of five (5) years of relevant industry experience and a recognized degree in Automotive Engineering or a closely related discipline.

• Payment shall be made in ten (10) equal monthly installments of 2,979,200 KZT each, due on the 5th business day of each month.
• Payments shall be transferred via bank wire to the supplier's account at JSC "National Bank of Kazakhstan," Almaty branch, IBAN: KZ85 9900 0000 1234 5678 90.
• A 30-day advance payment of 8,937,600 KZT (equivalent to three months) shall be released upon full execution of this Purchase Order and receipt of the supplier's performance bond.
• Late payments shall incur a penalty of 0.1% per calendar day, in accordance with the Civil Code of the Republic of Kazakhstan.

• This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved through arbitration at the International Arbitration Center of the Astana International Financial Centre.
• The supplier shall maintain comprehensive professional liability insurance covering all Automotive Engineer personnel for the duration of the contract, with a minimum coverage of 50,000,000 KZT per claim.
• All intellectual property, design documents, and technical data produced by the Automotive Engineer team in the course of performing services under this Purchase Order shall be the exclusive property of the purchaser.
• The supplier shall ensure full compliance with all occupational health and safety regulations applicable to engineering operations in Kazakhstan Almaty, including mandatory PPE provisions and workplace safety audits conducted quarterly.
• Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the other party, subject to the dispute resolution mechanism outlined above.
