4.1 This Purchase Order constitutes a binding agreement between Safaricom Automotive Solutions Ltd. (hereinafter "the Buyer") and East Africa Automotive Engineering Consultants Ltd. (hereinafter "the Vendor") for the provision of Automotive Engineer services in Kenya Nairobi.

4.2 The Automotive Engineer assigned to this Purchase Order must hold a valid professional registration with the Engineering Board of Kenya (EBK) and possess a minimum of a Bachelor's degree in Automotive or Mechanical Engineering from a recognized institution. A copy of the EBK registration certificate must be submitted prior to commencement of duties in Kenya Nairobi.

4.3 The Vendor shall ensure that the Automotive Engineer is available on-site at the Kenya Nairobi facility for a minimum of five (5) working days per week, Monday through Friday, between the hours of 08:00 and 17:00 East Africa Time (EAT).

4.4 Payment shall be made in monthly installments of KES 819,550 (inclusive of VAT and net of withholding tax) within thirty (30) calendar days of receipt of a valid tax invoice from the Vendor. All payments shall be processed through the Buyer's accounts payable department in Kenya Nairobi.

4.5 The Vendor is responsible for all statutory deductions including PAYE, NHIF, NSSF, and pension contributions for the Automotive Engineer, in full compliance with the Kenya Income Tax Act (Cap 470) and the National Health Insurance Act.

4.6 Any variation to the scope of work defined in this Purchase Order must be approved in writing by both parties. Unauthorized deviations by the Automotive Engineer from the agreed scope will not be compensated under this Purchase Order.

4.7 The Vendor shall maintain professional indemnity insurance with a minimum cover of KES 10,000,000 for the duration of the contract, with the Buyer named as an additional insured party.

4.8 In the event of termination, either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Vendor shall deliver all work-in-progress documentation and materials to the Buyer's Kenya Nairobi office within seven (7) days.

4.9 All intellectual property, designs, reports, and documentation produced by the Automotive Engineer in the course of this Purchase Order shall vest exclusively in the Buyer upon full payment.

4.10 This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Kenya Nairobi.

Note: This Purchase Order is subject to the Buyer's internal procurement policy and the Public Procurement and Asset Disposal Act (2015) where applicable. The Vendor acknowledges that all services rendered under this Purchase Order will be performed within the jurisdiction of Kenya Nairobi, and all applicable local labor, tax, and regulatory obligations shall be met by the Vendor.
