This Purchase Order authorizes the procurement of specialized professional services rendered by a qualified Automotive Engineer to support the ongoing vehicle platform development program at our Mexico Mexico City headquarters. The Automotive Engineer shall be responsible for the design, analysis, validation, and optimization of powertrain components, chassis systems, and advanced driver-assistance systems (ADAS) integrated into the next-generation compact SUV platform designated as Project "Vulcan MX." The scope of work for this Automotive Engineer engagement is strictly limited to the activities described in the line items below and shall be performed at the designated facility located in Mexico Mexico City, unless otherwise authorized in writing by the Procurement Department.

- 4.1 This Purchase Order constitutes a binding agreement between Grupo Industrial Automotriz del Centro, S.A. de C.V. (hereinafter "Buyer") and Tecnologías Automotrices Especializadas, S.A. de C.V. (hereinafter "Vendor") for the provision of Automotive Engineer professional services in Mexico Mexico City.
- 4.2 The Vendor shall assign qualified Automotive Engineer personnel who hold a minimum of a Bachelor's degree in Mechanical, Automotive, or Mechatronics Engineering from an accredited institution in Mexico or internationally, and a minimum of eight (8) years of progressive experience in the automotive sector.
- 4.3 All work deliverables, technical documentation, CAD models, simulation results, and intellectual property generated by the Automotive Engineer team under this Purchase Order shall be the exclusive property of the Buyer. The Vendor shall execute any additional assignment documents reasonably requested.
- 4.4 The Automotive Engineer team shall comply with all applicable Mexican federal and local regulations, including but not limited to the Federal Labor Law (Ley Federal del Trabajo), NOM-035-STPS occupational safety standards, and environmental regulations enforced by SEMARNAT in Mexico Mexico City.
- 4.5 Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice (factura) issued in accordance with Mexican tax law (Ley del ISR and Ley del IVA). Invoices must include the Vendor's RFC, the Purchase Order number, and a detailed breakdown of services rendered.
- 4.6 The Vendor shall maintain comprehensive professional liability insurance and workers' compensation coverage for all Automotive Engineer personnel assigned to this contract, with minimum coverage of MXN 5,000,000 per occurrence, valid throughout the term of this Purchase Order.
- 4.7 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the effective date of termination.
- 4.8 All disputes arising from this Purchase Order shall be resolved through binding arbitration in Mexico Mexico City in accordance with the rules of the Mexican Arbitration Center (Centro de Arbitraje de México), conducted in the Spanish language.
- 4.9 The Vendor shall not subcontract any portion of the Automotive Engineer services without prior written consent from the Buyer's Procurement Department.
- 4.10 This Purchase Order is governed by the laws of the United Mexican States. The venue for any legal proceedings shall be the courts of Mexico Mexico City.
