1. Scope & Deliverables: The Automotive Engineer shall deliver all technical outputs, design packages, calibration files, and compliance reports as specified in the attached Statement of Work (SOW-REF: SOW-CAS-2025-04871-A). All deliverables must be submitted to the Procurement Director of Atlas Automotive Industries at the Casablanca headquarters no later than the dates stipulated in the project timeline.
2. Location of Work: All on-site services shall be performed at the Atlas Automotive Industries facility located in the Zone Industrielle, Route de Nouaceur, Morocco Casablanca. The Automotive Engineer is expected to be physically present at the Casablanca site a minimum of four (4) days per week unless remote work is explicitly authorized in writing by the Buyer.
3. Qualifications Required: The Automotive Engineer must hold a minimum of a Master's degree (Diplôme d'Ingénieur) in Mechanical, Automotive, or Mechatronics Engineering from an accredited institution. A minimum of eight (8) years of progressive experience in the automotive sector, with at least three (3) years in a senior or lead engineering capacity, is mandatory. Fluency in French and English is required; working knowledge of Moroccan regulatory frameworks (Code de la Route, Moroccan Automotive Standards) is strongly preferred.
4. Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon contract execution and commencement of services in Morocco Casablanca; 40% upon successful completion of the mid-project review milestone; and 30% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the vendor's account in accordance with Moroccan banking regulations.
5. Intellectual Property: All designs, calibrations, reports, and technical documentation produced by the Automotive Engineer under this Purchase Order shall be the exclusive property of Atlas Automotive Industries SARL. The vendor shall execute a full IP assignment agreement prior to the commencement of any work in Morocco Casablanca.
6. Confidentiality: The Automotive Engineer and the vendor shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall compensate the vendor for all services rendered up to the termination date, plus a 10% administrative fee. Termination for cause (material breach, failure to meet deliverable deadlines) shall be effective immediately upon written notice.
8. Governing Law & Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from or in connection with this Purchase Order shall be resolved through amicable negotiation first, and failing that, through arbitration in Morocco Casablanca under the rules of the Moroccan Arbitration Center (Centre Marocain d'Arbitrage).
9. Compliance with Local Regulations: The vendor and the Automotive Engineer shall comply with all applicable Moroccan labor laws, tax obligations, social security contributions (CNSS), and professional licensing requirements. The vendor is solely responsible for ensuring the Automotive Engineer holds valid work authorization in Morocco if applicable.
10. Insurance & Liability: The vendor shall maintain professional liability insurance with a minimum coverage of 2,000,000 MAD, valid throughout the duration of this Purchase Order. The vendor shall indemnify and hold harmless the Buyer against any claims arising from the Automotive Engineer's negligence or professional malpractice.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Automotive Engineer services in Morocco Casablanca. This document constitutes a binding commercial agreement effective from the date of the last signature.
