This Purchase Order is issued by Veldkamp Automotive Systems B.V. to Delta Engineering Consultants N.V. for the engagement of a qualified Automotive Engineer to provide specialized technical services at the company's primary research and development facility located in Netherlands Amsterdam. The Automotive Engineer shall be responsible for the design, analysis, testing, and optimization of next-generation powertrain systems, including hybrid and fully electric drivetrain architectures, in compliance with all applicable European Union and Dutch regulatory standards.
The scope of work under this Purchase Order encompasses the following deliverables and responsibilities for the Automotive Engineer:
- Conducting comprehensive feasibility studies and technical assessments for new vehicle platform designs at the Netherlands Amsterdam headquarters.
- Performing computational fluid dynamics (CFD) simulations and finite element analysis (FEA) on chassis and body-in-white structures.
- Overseeing prototype fabrication, bench testing, and road validation of advanced transmission and battery management systems.
- Collaborating with cross-functional teams within the Netherlands Amsterdam engineering campus to ensure alignment with ISO 26262 functional safety requirements.
- Preparing detailed technical documentation, test reports, and compliance dossiers for submission to the Dutch Vehicle Authority (RDW) and European type-approval bodies.
- Mentoring junior engineering staff and contributing to the internal knowledge-sharing programme at the Netherlands Amsterdam site.

- Commencement Date: The Automotive Engineer shall report to the Netherlands Amsterdam facility no later than 1 September 2025. All services under this Purchase Order are contingent upon the successful completion of background verification and Dutch work-permit validation where applicable.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory Dutch rate as defined under Article 6:119a of the Dutch Civil Code.
- Confidentiality: The Automotive Engineer and all personnel assigned under this Purchase Order shall be bound by a mutual Non-Disclosure Agreement (NDA) covering all proprietary data, design files, and trade secrets of Veldkamp Automotive Systems B.V. This obligation survives termination of the engagement for a period of five (5) years.
- Intellectual Property: All work product, designs, calculations, test data, and documentation created by the Automotive Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of Veldkamp Automotive Systems B.V., Netherlands Amsterdam.
- Compliance: The Automotive Engineer shall adhere to all applicable Dutch labour regulations, EU automotive safety directives (including Regulation (EU) 2018/858), and internal quality management standards (IATF 16949) in force at the Netherlands Amsterdam site.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the Automotive Engineer shall return all company property, documentation, and access credentials to the Netherlands Amsterdam facility within five (5) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands Amsterdam.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Automotive Engineer at the Netherlands Amsterdam facility. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
