The Automotive Engineer shall report directly to the Chief Technical Officer and shall be physically present at the Wellington facility no fewer than four (4) days per week, with the remaining time allocated to remote analysis and documentation.
The Automotive Engineer engaged under this Purchase Order shall perform the following duties and deliverables while stationed in New Zealand Wellington:

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand, specifically the Contract and Commercial Law Act 2017 and the Consumer Guarantees Act 1993. All disputes arising from this Purchase Order shall be resolved in the courts of New Zealand Wellington.
- Payment Terms: Payment for services rendered by the Automotive Engineer shall be made on a monthly basis, within thirty (30) days of receipt of a valid tax invoice. The Automotive Engineer shall submit invoices by the last working day of each calendar month for work performed in New Zealand Wellington during that period.
- Intellectual Property: All designs, calculations, test data, reports, and documentation produced by the Automotive Engineer in the course of this Purchase Order shall be the sole and exclusive property of Wellington Automotive Solutions Ltd. The Automotive Engineer assigns all intellectual property rights arising from work performed in New Zealand Wellington to the Buyer upon creation.
- Confidentiality: The Automotive Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and project data encountered during the engagement in New Zealand Wellington. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Compliance and Standards: The Automotive Engineer shall ensure all work complies with New Zealand Automotive Standards (NZS), the New Zealand Transport Agency vehicle registration requirements, and applicable ISO 26262 functional safety standards. All testing and validation activities shall be conducted at approved facilities in or around New Zealand Wellington.
- Insurance and Indemnity: The Supplier shall maintain professional indemnity insurance of no less than NZD 5,000,000 and public liability insurance of no less than NZD 10,000,000 for the duration of this Purchase Order. The Automotive Engineer shall be covered under the Supplier's workers' compensation scheme as required by the Health and Safety at Work Act 2015 (New Zealand).
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Automotive Engineer shall deliver all work-in-progress documentation and materials to the Buyer's New Zealand Wellington facility within fourteen (14) days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (earthquakes, tsunamis, volcanic activity common to the New Zealand Wellington region), pandemics, or government-imposed restrictions.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the matter shall be referred to mediation in New Zealand Wellington in accordance with the Mediation Act 2017 before proceeding to litigation.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Supplier's standard terms of engagement, constitutes the entire agreement between the parties regarding the engagement of the Automotive Engineer in New Zealand Wellington and supersedes all prior negotiations, representations, and agreements.
