1. SCOPE OF PURCHASE ORDERThis Purchase Order is issued by AutoTech Engineering Solutions Ltd. to Meridian Automotive Consulting Group for the engagement of a qualified Automotive Engineer to provide specialized technical services for the design, testing, and commissioning of a new mid-size commercial vehicle platform. The Automotive Engineer shall be based at our primary facility in Nigeria Lagos and shall report directly to the Chief Technical Officer. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements for the professional services described herein.

- Payment Terms: Payment shall be made in three (3) equal installments. The first installment (33%) is due upon acceptance of this Purchase Order. The second installment (33%) is due upon completion of the six-month milestone. The final installment (34%) is due upon full project delivery and acceptance at the Nigeria Lagos facility. All payments shall be made via bank transfer to the account specified by the Seller.
- Place of Performance: All services under this Purchase Order shall be performed at the Buyer's premises located in Nigeria Lagos, specifically at the Victoria Island engineering office and the Ikorodu assembly plant, unless otherwise agreed in writing.
- Qualification Requirements: The Automotive Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Mechanical or Automotive Engineering from a recognized institution, possess a minimum of eight (8) years of progressive experience in commercial vehicle design, and be a registered member of the Nigerian Society of Engineers (NSE). A copy of the professional license shall be submitted prior to commencement.
- Intellectual Property: All designs, prototypes, test data, and documentation produced by the Automotive Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of AutoTech Engineering Solutions Ltd. The Automotive Engineer shall sign a non-disclosure and IP assignment agreement before commencing work in Nigeria Lagos.
- Compliance and Standards: All engineering work shall comply with the Nigerian Automotive Standards (NAS), the Federal Road Safety Corps (FRSC) regulations, and applicable ISO 26262 functional safety standards. The Automotive Engineer shall ensure all deliverables meet the regulatory requirements for vehicle registration and operation within Nigeria Lagos and the broader Nigerian market.
- Warranty and Defects: The Seller warrants that all services rendered by the Automotive Engineer shall be free from defects in design and workmanship for a period of twenty-four (24) months from the date of final acceptance. Any defects identified within this warranty period shall be rectified at no additional cost to the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination. The Automotive Engineer shall return all proprietary materials and documentation belonging to the Buyer upon termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Lagos Court of Arbitration in Nigeria Lagos. The governing law shall be the laws of the Federal Republic of Nigeria.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest in Nigeria Lagos or elsewhere in Nigeria.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, commercial terms, and proprietary information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order. The Buyer confirms its commitment to engage the specified Automotive Engineer services, and the Seller confirms its capacity and willingness to deliver the services as described, in full compliance with all applicable Nigerian regulations and industry standards.
