1. Description of Procurement
This Purchase Order is issued by Philippine Automotive Solutions Corporation (PASC) to Manila Engineering & Technical Staffing Inc. (METSI) for the procurement and deployment of a qualified Automotive Engineer to support PASC's vehicle design, testing, and quality assurance operations in the Philippines Manila region. The Automotive Engineer shall be responsible for the full lifecycle management of automotive component development, including but not limited to powertrain systems, chassis engineering, electrical and electronic subsystems, and compliance with Philippine Department of Transportation (DOTr) and Bureau of Customs technical standards.
The selected Automotive Engineer must hold a valid Professional Regulation Commission (PRC) license as a Mechanical or Automotive Engineer in the Philippines, possess a minimum of eight (8) years of progressive experience in the automotive industry, and demonstrate proficiency in CAD software (CATIA, SolidWorks), simulation tools (ANSYS, MATLAB/Simulink), and lean manufacturing methodologies. The Automotive Engineer shall report directly to the Vice President of Engineering at PASC's Philippines Manila headquarters and shall be embedded within the cross-functional product development team.

3. Terms and Conditions
- Scope of Work: The Automotive Engineer shall perform all duties as outlined in the attached Statement of Work (SOW-2025-089), which forms an integral part of this Purchase Order. Any material change in scope requires a written amendment signed by both parties.
- Performance Standards: The Automotive Engineer shall meet key performance indicators (KPIs) reviewed quarterly by PASC management in the Philippines Manila office. Failure to meet KPIs for two consecutive quarters entitles PASC to terminate this Purchase Order with thirty (30) days written notice.
- Compliance: METSI warrants that the Automotive Engineer holds a valid PRC license, is in good standing with the Professional Regulation Commission of the Philippines, and is not subject to any disciplinary action. All employment shall comply with the Philippine Labor Code (Presidential Decree No. 442) and applicable Metro Manila local ordinances.
- Intellectual Property: All designs, prototypes, test data, and engineering documentation produced by the Automotive Engineer during the term of this Purchase Order shall be the exclusive property of PASC. The Automotive Engineer shall execute a non-disclosure and IP assignment agreement prior to commencement.
- Payment: Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer to the account designated by METSI within thirty (30) days of invoice receipt. Late payments shall accrue interest at the rate of 1.5% per month as stipulated by Philippine tax law.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, PASC shall pay for all services rendered up to the effective date of termination, less any applicable deductions.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be resolved through arbitration in the Philippines Manila region under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to typhoons, earthquakes, government-mandated closures in Metro Manila, or pandemic-related restrictions as declared by the Philippine government.
4. Acceptance and Authorization
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Automotive Engineer professional services in the Philippines Manila region. This document constitutes a binding agreement effective upon the last signature.
