All services under this Purchase Order shall be performed within the city of Jeddah, Saudi Arabia, in full compliance with the Saudi Standards, Metrology and Quality Organization (SASO) regulations and the Saudi Vision 2030 industrial development framework.

The Automotive Engineer engaged under this Purchase Order shall hold a minimum of a Bachelor's degree in Automotive Engineering or Mechanical Engineering with a specialization in vehicle dynamics, powertrain systems, or advanced manufacturing. A minimum of ten (10) years of progressive professional experience in the automotive sector within the Kingdom of Saudi Arabia or internationally is required. The Automotive Engineer must be registered with the Saudi Council of Engineers and possess a valid professional practice license issued for the Jeddah region.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Jeddah, Saudi Arabia, or through arbitration under the Saudi Center for Commercial Arbitration (SCCA) in Jeddah.
2. Place of Performance: All services rendered by the Automotive Engineer and associated personnel shall be executed at the Buyer's facility located in Jeddah, Saudi Arabia, unless otherwise agreed in writing. Travel and accommodation within Jeddah shall be the responsibility of the Supplier.
3. Payment Terms: Payment shall be made in monthly installments via bank transfer to the Supplier's designated account in Saudi Arabia. Invoices must be submitted by the 5th of each month for services rendered in the preceding month. Payment shall be due within thirty (30) calendar days of invoice receipt. All amounts are denominated in Saudi Riyals (SAR).
4. Compliance: The Automotive Engineer and all supporting staff must comply with Saudi labor laws, SASO technical standards, and all applicable regulations of the Ministry of Industry and Mineral Resources in Saudi Arabia. Professional licenses must be maintained throughout the contract period.
5. Intellectual Property: All designs, prototypes, test data, and technical documentation produced by the Automotive Engineer under this Purchase Order shall be the exclusive property of Al-Jeddah Automotive Industries Co., Ltd. The Supplier warrants that no third-party intellectual property rights shall be infringed.
6. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data exchanged in connection with this Purchase Order. This obligation shall survive termination for a period of five (5) years.
7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions in Saudi Arabia, or pandemics, provided that written notice is given within fourteen (14) days of the event.
9. Insurance: The Supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage as required by Saudi Arabian law for all Automotive Engineers and staff engaged under this Purchase Order.
10. Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.

The Automotive Engineer shall submit a detailed project plan and work schedule within ten (10) business days of the effective date of this Purchase Order. Milestone deliverables, including design specifications, simulation reports, prototype test results, and final engineering documentation, shall be submitted to the Buyer's project management office in Jeddah for review and acceptance. The Buyer shall have fifteen (15) business days to review and either accept or request revisions for each milestone deliverable.
