1. This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. All disputes arising from this Purchase Order shall be resolved through the competent courts in Riyadh, Saudi Arabia.
2. The Automotive Engineer(s) engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Automotive Engineering or a related mechanical engineering discipline, with a minimum of eight (8) years of progressive experience in automotive OEM or Tier-1 supplier environments.
3. All services shall be performed at the buyer's designated facility in Saudi Arabia Riyadh, specifically at the Riyadh Industrial City, Plot 47, Al-Jawf District. The vendor shall ensure that the Automotive Engineer complies with all Saudi Arabian labor regulations, including Iqama (residency permit) and work visa requirements.
4. The vendor shall provide a replacement Automotive Engineer of equivalent or superior qualifications within fourteen (14) calendar days should the originally assigned engineer become unavailable for any reason.
5. Payment shall be made via bank transfer to the vendor's designated account in Saudi Arabia Riyadh within thirty (30) days of receipt of a valid invoice and satisfactory completion of the monthly service deliverables.
6. All intellectual property, engineering drawings, test data, and technical reports produced under this Purchase Order shall remain the exclusive property of Al-Riyadh Automotive Solutions Co. Ltd. The Automotive Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work in Saudi Arabia Riyadh.
7. The vendor is responsible for all professional indemnity insurance, with a minimum coverage of SAR 5,000,000, valid throughout the term of this Purchase Order.
8. This Purchase Order may be terminated by either party with sixty (60) days' written notice. In the event of termination, the vendor shall be compensated for services rendered up to the effective date of termination.
9. All communications, reports, and documentation related to this Purchase Order shall be prepared in both Arabic and English, in compliance with Saudi Arabia's official language requirements for commercial documents.
10. The Automotive Engineer shall adhere to all health, safety, and environmental (HSE) protocols established by the buyer and in accordance with Saudi Arabian regulatory standards, including those enforced by the Ministry of Environment, Water and Agriculture.
