- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Singapore Singapore or, at the purchaser's discretion, resolved through arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices shall be submitted monthly for the Automotive Engineer engagement fees. The total Purchase Order value of SGD 262,799.00 is payable in accordance with the milestone schedule attached as Appendix A.
- Performance Standards: The Automotive Engineer shall adhere to all engineering standards, quality management systems (ISO 26262 for functional safety, IATF 16949 for automotive quality), and safety protocols as mandated for operations within Singapore Singapore. Failure to meet performance KPIs as defined in the Statement of Work may result in termination of this Purchase Order with thirty (30) days' written notice.
- Intellectual Property: All work product, designs, prototypes, and documentation created by the Automotive Engineer in the course of this Purchase Order engagement shall be the sole and exclusive property of Meridian Automotive Solutions Pte. Ltd. The supplier warrants that no third-party IP rights are infringed by the deliverables produced in Singapore Singapore.
- Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged under this Purchase Order. This obligation shall survive the termination or expiry of this Purchase Order for a period of five (5) years.
- Compliance with Singapore Singapore Regulations: The supplier shall ensure that the Automotive Engineer holds valid work authorization (Employment Pass, S Pass, or relevant permit) issued by the Singapore Ministry of Manpower. All statutory contributions including CPF (where applicable), insurance, and tax obligations in Singapore Singapore shall be the responsibility of the supplier.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the supplier shall deliver all completed work product to the purchaser within fourteen (14) days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Singapore Singapore, or pandemics, provided that the affected party notifies the other within seven (7) days.
